Jakarta (ANTARA) — PT Multimedia Nusantara (TelkomMetra) has signed a conditional share purchase agreement (CSPA) to fully divest PT Administrasi Medika (AdMedika) and its subsidiary entities to Fullerton Health as part of portfolio restructuring within PT Telkom Indonesia (Persero) Tbk (TelkomGroup).

TelkomMetra Chief Executive Pramasaleh Haryo Utomo stated that the divestment step was undertaken in a measured manner and forms part of the company’s transformation strategy to strengthen focus on core telecommunications and digital business.

“The signing of the CSPA with Fullerton Health, which represents a step towards the complete divestment of AdMedika Group, is a decision undertaken in a measured way, adhering to Good Corporate Governance principles and aligning with TelkomGroup’s transformation to strengthen focus on core business,” said Pramasaleh in an official statement in Jakarta on Monday.

The agreement between TelkomMetra as seller and Fullerton Health as buyer was signed on 4 March 2026. This step also aligns with efforts to streamline state-owned enterprise (SOE) portfolios and strengthen TelkomGroup’s business fundamentals.

Upon completion of the acquisition process, with Fullerton Health as the new owner, AdMedika is expected to expand its business development to the regional level.

Fullerton Health Group CEO Ho Kuen Loon stated that the acquisition reflects the company’s commitment to strengthening its contribution to Indonesia’s healthcare service ecosystem.

According to him, AdMedika has developed into a comprehensive healthcare administration services platform with strong governance foundations, digital innovation, and clinical discipline aligned with Fullerton Health’s capabilities.

Fullerton Health is an integrated healthcare service solution provider in the Asia-Pacific region operating in nine countries, managing approximately 550 healthcare facilities and partnering with more than 20,000 healthcare service providers.

Through the combination of Fullerton Health’s regional network and AdMedika’s domestic market base, this collaboration is expected to drive healthcare service innovation and expand service access for the public and corporate clients across Indonesia and the Asia-Pacific region.
