JAKARTA, KOMPAS.com - PT Wahana Interfood Nusantara Tbk (COCO) or Win&Co Group plans to undertake a Capital Increase with Pre-emptive Rights III (PMHMETD III).

This corporate action has received approval from shareholders at the Extraordinary General Meeting of Shareholders (RUPSLB) on Friday (17/4/2026) in Jakarta.

Win&Co Group’s President Director, Sugianto Soenario, stated that this approval marks the beginning of a new growth phase for the company, following the operational transformation carried out throughout 2025, which has begun to show positive results, particularly in improving performance in Q4-2025.

Through this rights issue, the company plans to issue up to 10.67 billion new shares with a nominal value of Rp 100 per share.

In addition, the company also plans to issue warrants with a maximum amount reaching 35 percent of the total shares placed and fully paid up at the time the registration statement is submitted to the Financial Services Authority (OJK).

Sugianto explained that this shareholder approval reflects confidence in the company’s business transformation direction and serves as a foundation to accelerate future expansion steps.

“This approval not only strengthens confidence in the strategy we are implementing but also becomes a momentum for the company to enter the next growth phase in a more aggressive and measured manner,” Sugianto said in an official statement on Monday (20/4/2026).

Based on the 2025 Financial Report, Win&Co Group recorded a sales performance increase of around 40 percent compared to the previous quarter.

Sugianto explained that this momentum is driven by strengthening in the business-to-business (B2B) segment, particularly in the processed cocoa and raw materials business.

In addition, retail product growth through innovation in chocolate-based product variants and strategic partnerships is also beginning to contribute more to the company’s performance.

In line with this, the industry prospects that the company is focusing on also show a growth trend.

The global cocoa and chocolate market is projected to grow with a CAGR of around 4.9 percent until 2034, while the cocoa raw materials market in Indonesia is estimated to grow around 6 percent until 2031.

“Driven by increased consumption of chocolate-based products, expansion of the food and beverage industry, and the premiumisation trend of products,” he said.

In addition, Sugianto stated that Indonesia has strengthened its position as one of the major global players by becoming the world’s fourth-largest processed cocoa producer.

In this growth momentum, the company is confident in accelerating expansion in its main business lines, including strengthening the processed cocoa and raw materials sector, developing consumer products, and strategic acquisitions to expand the business portfolio.

“This strategy is expected to strengthen the company’s position as one of the significant players in the processed cocoa and raw materials industry, as well as increase competitiveness in the national and international markets in the long term,” he concluded.
