WBSA to Expand Sea Fleet
PT BSA Logistics Indonesia Tbk (WBSA), through its subsidiary PT Beruang Maritim Indonesia (BMI), is prepared to strengthen its fleet by purchasing new ships. This fleet reinforcement aligns with the company’s expansion into the maritime transport sector.
WBSA will utilise capital sourced from bank loans to purchase the vessels. Furthermore, the company’s controlling shareholder will act directly as a guarantor for the loan facility transaction undertaken by PT BMI from PT Bank OCBC NISP Tbk (Bank OCOC) as the lender.
“On 14 September 2026, PT BMI signed a loan agreement with Bank OCBC for a term loan facility of Rp75 billion with a 60-month tenor,” explained WBSA President Director Edwin Wibowo in an official announcement to the Indonesia Stock Exchange on Tuesday (15/9/2026).
As collateral, WBSA will pledge five sets of ships owned by PT BMI, consisting of five tugboats and five barges, to be executed no later than three months after each loan drawdown. Additionally, Tiga Beruang Kalifornia Pte. Ltd., as the controller of WBSA, will also provide a corporate guarantee for the large-scale loan facility transaction undertaken by PT BMI. “The purpose of the facility is for the purchase of ships,” Edwin clarified.
This transaction is classified as an exempted material transaction as referred to in POJK No. 17/POJK.04/2020 regarding material transactions and changes in business activities. Conversely, this is not an affiliated transaction and therefore does not involve a conflict of interest.
BIL is the holding company of PT Beruang Maritim Indonesia (BMI), which operates in marine shipping services. As an issuer offering multi-modal logistics services, WBSA management considers the acquisition of BIL to be in line with the company’s long-term business development direction for marine shipping.
Furthermore, BNL, the seller, is a holding company with the same ultimate beneficial owner (UBO) as WBSA, namely Andree and Edwin Wibowo. Both hold 50% of BNL’s shares respectively. Currently, Andree serves as the President Commissioner of WBSA and Director of BNL, while Edwin serves as the President Director of WBSA and Commissioner of BNL.
Consequently, this Rp215 billion acquisition plan is an affiliated transaction as defined in the Capital Market Law and POJK 42/2020. Following the acquisition, both WBSA and BIL will be controlled by Tiga Beruang Kalifornia Pte. Ltd (TBK).
This acquisition transaction is also a follow-up to WBSA’s plan disclosed in its initial public offering (IPO) prospectus on 2 April 2026. Therefore, the funds used by WBSA to acquire BIL shares are sourced from the IPO proceeds.
