TRJA forms subsidiary to expand business network - BCA Securities
Vehicle rental and holding services provider PT Transkon Jaya Tbk (IDX:TRJA) has officially reported an affiliated transaction concerning the establishment of a new subsidiary, PT Samudra Tara Indonesia (SAM). The formal report was submitted to the Financial Services Authority (OJK) and the Indonesia Stock Exchange (BEI) on 26 May 2026.
According to the disclosure letter, Company Secretary R. Alexander J. Syauta stated that the capital investment transaction for the new subsidiary was completed on 22 May 2026. In the disclosure, PT Transkon Jaya Tbk invested Rp19.98 billion (nineteen billion nine hundred and eighty million rupiah), representing a 99.9% absolute majority stake, or 199,800 shares, in PT Samudra Tara Indonesia.
In establishing the new entity, the company collaborated with its subsidiary, PT Borneo Sentana Gemilang (BSG). PT Transkon Jaya Tbk directly controls BSG with a 99.80% shareholding. Within SAM’s capital structure, BSG holds the remaining 0.1% stake by contributing Rp20 million (twenty million rupiah), equivalent to 200 shares.
Thus, the total initial capital placed in PT Samudra Tara Indonesia amounts to Rp20 billion. PT Transkon Jaya Tbk’s management explained that the SAM establishment transaction is classified as a Related Party Transaction. However, it is exempt from the obligation to announce and obtain approval from independent shareholders, as per Article 6 paragraph (1) letter b of OJK Regulation No. 42/POJK.04/2020, since the capital investment was made into a controlled company where at least 99% of shares are held by the listed company.
