PT Megalestari Epack Sentosaraya Tbk (EPAC) has signed a Share Purchase Agreement (PJBS) between the company’s controlling shareholders (PSP) and PT Triple Berkah Bersama (Triple B) and PT Sirkah Akselerasi Jaya (SAJ), executed on 25 May 2026.

Under the agreement, Triple B plans to purchase all of EPAC’s controlling shareholder shares totaling 1,141,671,100 shares at Rp12 per share in the negotiated market. The purchase will occur in two stages: Triple B will acquire 541,666,667 shares by Wednesday, 24 June 2026, and 600,004,433 shares by Thursday, 23 July 2026.

“The signing of the PJBS does not yet signify an effective change of controlling shareholders at EPAC,” stated Triple Berkah Bersama director Noprian Fadli in a disclosure statement on 31 May 2026, reiterated by EPAC.

Once the two transaction stages are completed, the entire 34.56% of EPAC shares currently held by the controlling shareholders will transfer entirely to Triple B.

“There will be no significant impact on operational activities, legal matters, financial condition, or business continuity,” asserted Megalestari Epack Sentosaraya CEO Bahar in a prospectus filed with the Indonesia Stock Exchange (BEI).

The acquisition is claimed to enhance EPAC’s enterprise value through strengthened business strategy and capital structure. On 28 May 2026, EPAC management stated that Triple B will become the ultimate beneficial owner (UBO), while PT Sirkah Akselerasi Jaya will be the UBO for PT Media Telekomunikasi Mandiri.

Going forward, EPAC plans to transform into an investment holding company. Existing business operations will continue under EPAC’s subsidiaries, allowing the company to focus on investment portfolio management and overall corporate value enhancement.

Triple B’s owner, Noprian Fadli, has previously acquired stakes in PT Techno9 Indonesia Tbk (NINE), PT Harta Djaya Karya Tbk (MEJA), PT Multi Makmur Lemindo Tbk (PIPA), Leyand International Tbk (LAPD), PT Geoprima Solusi Tbk (GPSO), and PT Raja Roti Cemerlang Tbk (BRRC).

The Indonesia Stock Exchange (BEI) has requested EPAC to clarify Noprian Fadli’s holdings in these listed companies. Triple B is affiliated with PIPA as Noprian Fadli serves as a director and acts as financial advisor to PIPA’s controlling shareholders, PT Morris Capital Indonesia.

Triple B is also affiliated with NINE, where Noprian Fadli is the main commissioner and serves as financial advisor to NINE’s controlling shareholder, Poh Holding Pte. Ltd.

At MEJA, Triple B is affiliated as Noprian Fadli is the main commissioner and also the controlling shareholder of MEJA.

However, Triple B has no affiliation with GPSO, LAPD, and BRRC, but acts as financial advisor to the controlling shareholders of GPSO (PT PIMSF Pulogadung), LAPD (PT JSI Sinergi Mas), and BRRC (Ari Sudarsono).
