PT J Resources Asia Pasifik Tbk (PSAB), or the Company, has announced a corporate action undertaken by its subsidiaries, PT J Resources Nusantara (JRN) and PT J Resources Mining Services Indonesia (JRMSI). Both subsidiaries have officially signed a Share Sale and Purchase Agreement to take over share ownership in JRBM on 7 May 2026. In the disclosure submitted to the Financial Services Authority (OJK), management explained that JRN and JRMSI purchased all shares owned by PT Lebong Tandai in JRBM. The total shares acquired amount to 850,000 shares, comprising 849,999 shares by JRN and 1 share by JRMSI. Value of Transaction and Ownership Structure The investment value for this share purchase reaches USD 5,000,000, equivalent to Rp 86,824,000,000. Through this transaction, the composition of shareholders in JRBM undergoes significant change. Previously, JRN held 80% of the shares and PT Lebong Tandai owned the remaining 20%. Post-transaction, JRN’s ownership increases to 99.99% and JRMSI holds 0.01%. Operational Impact and Business Continuity This strategic step is expected to provide positive impacts for the Company and its stakeholders. With this takeover, the Company can now fully consolidate JRBM. “The share purchase transaction will provide positive impacts for the Company, where the Company can fully consolidate JRBM,” wrote management in the report. Regulatory Compliance Given that JRBM is the holder of a Contract of Work, the Company is currently processing an application for approval of the change in shareholders to the Ministry of Energy and Mineral Resources (ESDM) to meet applicable legal requirements. Management also affirmed that this transaction is not a Material Transaction, Affiliated Transaction, or Conflict of Interest Transaction as regulated under Financial Services Authority Regulation (POJK) No. 17/2020 and No. 42/2020.
