PT Multimedia Nusantara (TelkomMetra), a subsidiary of PT Telkom Indonesia (Persero) Tbk (Telkom), has signed a Conditional Share Purchase Agreement (CSPA) marking a significant and strategic step towards the full divestment of PT Administrasi Medika (AdMedika), including its subsidiary TelkoMedika (collectively referred to as AdMedika Group), to Fullerton Health.

This move aligns with the streamlining of state-owned enterprises mandated to TelkomGroup, forming a key focus of the TLKM 30 transformation pillar.

As part of implementing TelkomGroup’s transformation strategy, this portfolio restructuring and streamlining effort seeks to strengthen focus on core business in the telecommunications and digital sectors. It simultaneously creates opportunities for AdMedika Group to expand more broadly at both national and regional levels.

AdMedika Group, a technology-based healthcare administration services (third-party administrator/TPA) provider, has a strong track record in delivering claims management solutions and health services to corporations and institutions across Indonesia.

Given the increasingly competitive dynamics of the healthcare and insurance industries, the sustainability and accelerated development of AdMedika Group is deemed more optimal when supported by a strategic partner shareholder with business alignment to AdMedika Group’s operations.

TelkomMetra Chief Executive Officer Pramasaleh Haryo Utomo stated that signing the CSPA with Fullerton Health represents a step towards the full divestment of AdMedika Group. “This is a decision made in a measured manner, prioritising the principles of Good Corporate Governance, through comprehensive business considerations and aligned with TelkomGroup’s transformation to strengthen focus on core business and create long-term value,” he said in a statement on Monday (9 March 2026).

The CSPA between TelkomMetra as seller and Fullerton Health as buyer was signed on 4 March 2026.

Ho Kuen Loon, Group Chief Executive Officer of Fullerton Health, stated that the acquisition reflects the company’s commitment to strengthening its presence and contribution in Indonesia’s healthcare services landscape.

AdMedika has been maturely developed within TelkomGroup into a trusted and highly comprehensive healthcare administration platform, built on strong governance, digital innovation, and clinical discipline. “These qualities align with the capabilities and values we hold. We view this acquisition as important for expanding access to high-quality healthcare services for Indonesians and the broader regional community,” Ho said.

He added that the acquisition opens opportunities to enhance service quality and meet the evolving needs of patients, clients, and partners throughout Indonesia.

Fullerton Health, as the new owner of AdMedika Group following acquisition completion in accordance with the CSPA, possesses deep regional experience and proven operational capability across various healthcare services and benefits markets in Asia.

The combination of both organisations’ strengths creates a broader platform for growth. This pairs AdMedika Group’s strong foundation in the domestic market with Fullerton Health’s regional expertise in managed care, healthcare provider networks, and digital health.

This positions the expanded platform to grow more effectively, drive innovation, and strengthen AdMedika Group’s leadership position in TPA solutions in Indonesia, whilst opening the way for future expansion across the wider region.
