TelkomMetra Restructures Business Portfolio; AdMedika Group Positioned for Regional Growth Expansion
PT Multimedia Nusantara (TelkomMetra), a subsidiary of PT Telkom Indonesia (Persero) Tbk (Telkom), has formally executed a Conditional Share Purchase Agreement (CSPA) marking a significant and strategic milestone towards the complete divestment of PT Administrasi Medika (AdMedika), including its subsidiary TelkoMedika (collectively referred to as AdMedika Group), to Fullerton Health Group.
This action aligns with the state-owned enterprise streamlining agenda mandated to TelkomGroup, forming a key pillar of TLKM 30 transformation strategy. As part of the implementation of TelkomGroup’s transformation strategy, this portfolio restructuring and streamlining initiative aims to strengthen focus on core telecommunications and digital sector business whilst creating broader development opportunities for AdMedika Group to expand at national and regional levels.
AdMedika Group, operating as a technology-based health administration services company (third party administrator/TPA), has established a strong track record in providing claims management solutions and healthcare services to corporations and institutions across Indonesia. Given increasingly competitive industry dynamics in healthcare and insurance, the sustainability and acceleration of AdMedika Group’s development is considered optimal when supported by a strategic partner shareholder with business alignment to AdMedika Group’s operations.
TelkomMetra President Director Pramasaleh Haryo Utomo stated that signing the CSPA with Fullerton Health, representing the pathway to complete AdMedika Group divestment, reflects a carefully considered decision prioritising Good Corporate Governance principles. “Through comprehensive business considerations, and in alignment with TelkomGroup’s transformation steps to strengthen core business focus and create long-term value,” he said.
The CSPA between TelkomMetra as seller and Fullerton Health as purchaser was signed on 4 March 2026. “This acquisition reflects Fullerton Health’s commitment to strengthen our presence and contribution within Indonesia’s healthcare services landscape,” stated Group CEO Ho Kuen Loon.
According to him, AdMedika has been developed maturely within TelkomGroup into a trusted and highly comprehensive health administration service platform, built upon strong governance, digital innovation, and clinical discipline. These qualities align with the capabilities and values we possess. We regard this acquisition as an important step towards expanding access to high-quality healthcare services for the Indonesian people and the broader regional community,” he said.
The acquisition also creates opportunities to enhance service quality and meet the evolving needs of patients, clients, and partners throughout Indonesia. Fullerton Health, which will become AdMedika Group’s new owner upon acquisition completion in accordance with the CSPA, possesses deep regional experience and proven operational capabilities across various healthcare and health benefit service markets in Asia.
This combination of organisational strengths creates a broader platform for growth, merging AdMedika Group’s strong domestic market foundation with Fullerton Health’s regional expertise in managed care, healthcare provider networks, and digital health. This positions the expanded platform to develop more effectively, drive innovation, and strengthen AdMedika Group’s leadership position in TPA solutions in Indonesia, whilst opening pathways for future expansion across the broader region.
