PT Telkom Indonesia (Persero) Tbk (Telkom) held its 2025 Annual General Meeting of Shareholders (AGM) virtually on Monday (8/6). During the meeting, shareholders approved several key agendas, including the utilisation of 2025 net profits, a share buyback programme, and changes to the company’s management structure to strengthen leadership and support the sustainability of the TelkomGroup transformation in 2026.

At this AGM, shareholders approved a cash dividend distribution of approximately Rp21.9 trillion. Of this amount, around Rp17.8 trillion is derived from the company’s total net profit for the 2025 fiscal year, while the remaining Rp4.2 trillion comes from retained earnings from previous years. The dividend payment will be completed no later than 10 July 2026. Shareholders recorded in the Register of Shareholders at the close of trading on 19 June 2026 are entitled to receive the dividend.

President Director of Telkom, Dian Siswarini, stated that the dividend payment considers various aspects, primarily the balance between shareholder returns and long-term investment needs. “Despite facing industry pressures and uncertainty throughout 202lar5, the Company has successfully proven that business fundamentals remain intact and cash flow is strengthening. Thus, the shareholders’ decision to approve the dividend today reflects confidence in the transformation and growth direction we are building,” Dian explained in an official statement.

In addition to the dividend distribution, the AGM also approved a share buyback programme with a maximum value of Rp4 trillion. The buyback will be conducted through the Stock Exchange and off-market, either gradually or all at once, and will be completed within a twelve-month period following the AGM approval, specifically from 9 June 2026 to 8 June 2027. This corporate action is part of the company’s strategy to increase shareholder value and maintain share price stability amidst market dynamics.

The AGM also approved changes to the Board of Commissioners to strengthen Telkom’s leadership foundation in overseeing the transformation agenda and facing digital industry dynamics.

Regarding its transformation progress, Telkom has shown significant execution of its ‘TLKM 30’ strategy between 2025 and the first quarter of 2026, focusing on four main pillars. In terms of Operational & Service Excellence, the company has increased efficiency through TOTEX programmes, improved operational cash flow, and implemented Early Retirement and Governance Reset programmes.

Telkom’s efforts to realise this transformation resulted in 2025 performance achievements, including revenue of Rp146.74 trillion, EBITDA of Rp72.24 trillion, and net income of Rp17.81 trillion. As part of the total governance reset, the company accelerated depreciation, which impacted net income; however, this impact is non-cash, meaning business fundamentals and cash flow remain strong.

In terms of streamlining, Telkom has simplified its business portfolio, including the divestment of non-core assets and refocusing on core telecommunications and digital businesses. Six entities have been streamlined, with the AdMedika Group divestment completed on 2 June. To unlock value, Telkom has begun monetising infrastructure assets through the spin-off of wholesale fibre connectivity assets to InfraNexia, targeted for completion in the third quarter, and has reopened strategic partnership initiatives for data centre businesses.

Furthermore, Telkom is transitioning to a HoldCo-OpCo model with segment-based reporting to enhance transparency and accountability. Overall, 2025 served as a foundational year to strengthen the business structure and prepare for high-quality future growth, aligned with the company’s efforts to create sustainable long-term value for all stakeholders.
