PT Telkom Indonesia (Persero) Tbk has obtained approval from independent shareholders for the corporate action of spinning off its wholesale fibre connectivity assets and business into PT Telkom Infrastruktur Indonesia (InfraNexia) during an Extraordinary General Meeting of Shareholders (EGMS) held online on Wednesday (30/09/2026).

Telkom President Director Nanang Hendarno stated that the formation of InfraNexia as an operating company managing the TelkomGroup’s network infrastructure business is part of the implementation of the TLKM 30 strategy. This aims to drive the monetisation of high-value assets and foster strategic partnerships to capture growth opportunities.

“In line with this, this step also strengthens Telkom’s transformation from an Operating Holding to a Strategic Holding, using a Holding Company-Operating Company (HoldCo-OpCo) model oriented towards value creation and focusing on sustainable synergy between entities,” said Nanang.

Nanang noted that the InfraCo spin-off is a vital step in building a more focused business structure, while providing the necessary space and flexibility for InfraNexia to develop optimally. Telkom, he continued, ensures that the ongoing transformation can deliver a real impact on performance and value creation, while providing an even greater contribution to the advancement of Indonesia’s digital ecosystem.

“The EGMS also approved changes to the company’s management structure, which is expected to strengthen governance, contribute to the enhancement of the Company’s performance, and support the success of the TLKM 30 transformation agenda,” Nanang added.

Nanang reported that Telkom and InfraNexia have signed the deed of spin-off, marking a major milestone in the completion of Phase 2 of the InfraCo spin-off, following approval from Telkom’s independent shareholders via the EGMS. Through this stage, Nanang stated, more than 90 per cent of the network infrastructure assets previously under Telkom have been officially consolidated into InfraNexia.

“This strengthens the company’s scale as a wholesale-based digital infrastructure provider, with a network spanning various regions across Indonesia,” Nanang continued.

Overall, Nanang added, this scale includes approximately 112,000 kilometres of fibre optic network, including 26,000 km of domestic submarine cable systems (SKKL), with a total transaction value reaching approximately Rp 85.7 trillion. Nanang stated that InfraNexia is directed to further sharpen its business focus and increase the productivity of infrastructure assets to drive higher external market contributions to the TelkomGroup’s B2B Infrastructure segment revenue.

“With a more solid scale and focus, InfraNexia is expected to manage infrastructure more optimally while opening up its utilisation for more industry players,” said Nanang.

Nanang expressed optimism that this step is part of the TelkomGroup’s efforts to build a business that is increasingly focused, competitive, and capable of creating much greater value from each strategic asset it possesses.
