Solusi Bangun Indonesia (SMCB) Liquidates Subsidiary, Here Are the Details
PT Solusi Bangun Indonesia Tbk (SMCB) has dissolved and liquidated an indirectly owned subsidiary. According to information disclosed on the Indonesia Stock Exchange (BEI), SMCB dissolved and liquidated its indirectly owned subsidiary, PT SBI Bangun Nusantara (SBN). This is in connection with the Streamlining Project within the entity PT Semen Indonesia (Persero) Tbk (SMGR) or the SIG Group. The action was based on a Majority Shareholder Directive Letter from PT Semen Indonesia (Persero) Tbk No.000925/KS.08.02/SUP/50067341/2000/06.2026 dated 25 June 2026, regarding the dissolution followed by liquidation of the SMCB group of companies, specifically the subsidiary SBN. The SBN Shareholders’ Circular Resolution approved the dissolution followed by liquidation of SBN, effective from the date of the Circular Resolution. It also approved the appointment of Dudi Pramedi as the liquidator to carry out all necessary actions in connection with the dissolution of SBN, in accordance with the provisions of SBN’s Articles of Association and applicable laws and regulations. ‘There is no impact on SMCB’s operational, legal, financial, or business continuity,’ the company stated in the information disclosure on Monday (13/7).
