SFAN Restructures Subsidiary, Simplifies Group Structure - KabarBursa.com
PT Surya Fajar Capital Tbk (SFAN) is restructuring its subsidiary entities as part of efforts to tidy up the group’s business structure. This step is being taken through affiliated transactions involving several entities within the company’s business ecosystem.
SFAN’s Corporate Secretary, Marianto, stated that the restructuring is being carried out with subsidiary entities, including PT Digitalisasi Perangkat Indonesia (DPI), which is owned at 51.95 per cent.
“The company, together with its subsidiaries, plans to carry out a restructuring to simplify the business structure,” Marianto said in a disclosure of information quoted on Friday, 24 April 2026.
The scheme includes two main transactions. First, the divestment of the company’s ownership in PT Surya Fajar Urun Dana (SFUND) to DPI, which is a direct subsidiary.
Second, the divestment of DPI’s ownership in PT Mitra Usaha Indofund (MUI) to PT Surya Fajar Corpora (SFC), which is the controlling shareholder of the company.
Management stated that this step aims to simplify the ownership structure and clarify business lines within the group. All transactions are conducted within the scope of affiliated parties.
“There is no material impact on the company’s operational activities, financial condition, and business continuity,” management wrote.
As is known, SFAN is a company operating in the fields of investment, services, and management and financial consulting.
In the ownership structure, PT Surya Fajar Corpora is recorded as the controlling shareholder with a portion of around 71.24 per cent, while the public holds around 28.76 per cent of the shares.
In its operations, SFAN has several subsidiary entities operating in the financial services and investment sectors. Some of them are PT Surya Fajar Sekuritas, PT Surya Fajar Investama, and PT Surya Fajar Urun Dana, which operates in securities crowdfunding services.
In addition, PT Digitalisasi Perangkat Indonesia (DPI) is one of the strategic entities in the group with ownership of 51.95 per cent. This entity operates in the field of management consulting.
