Semen Indonesia Liquidates Three Subsidiaries Through SMCB
PT Semen Indonesia Tbk (SMGR) announced the dissolution and liquidation of three subsidiary entities through PT Solusi Bangun Indonesia Tbk (SMCB) on 19 and 20 May 2026. The units being wound up are PT Ciptanugrah Indonesia (CI), PT Aroma Sejahtera Indonesia (ASI), and PT Aroma Cipta Anugrahtama (ACA). CI and ASI are subsidiaries at the grandchildren level because SMGR holds an 83.52 percent stake in SMCB. ACA is a great‑grandchild of the state‑owned cement group.
The dissolution has received approval at Extraordinary General Meetings of Shareholders held by each company. The meetings also approved appointing the liquidators: Fany Wulandari, Andika Lukmana, and Sri Setio Inantoro. The liquidators will carry out all necessary legal actions concerning the dissolution of the three firms. The process must comply with the companies’ Articles of Association and applicable laws.
Management emphasised that the restructuring will not disrupt the group’s core business. ‘There are no material events, information, or facts that would affect the company’s operational, legal, financial condition, or continuity of business,’ said SMGR Chief Executive Indrieffouny Indra.
On the stock market, SMGR shares traded slightly lower following the liquidation announcement. In intraday trading on Thursday (21 May), SMGR shares fell by 0.54% to Rp1,825 per share.
