Satu Visi (VISI) Plans Private Placement and Acquisition, Here Are the Details
Jakarta, CNBC Indonesia - Advertising company PT Satu Visi Putra, also known as Savitra Tbk (VISI), plans to conduct a private placement of 307.5 million shares. The issuance of new shares is equivalent to 10 percent of the total issued and paid-up capital.
The new shares will be issued at a nominal value of Rp25. The corporate action will be carried out within two years from the independent shareholders’ general meeting, which is scheduled for Wednesday, 30 September 2026.
The corporate action aims to develop the business as a holding company that will consolidate all business activities of a group operating in the healthcare sector.
Furthermore, it is intended to provide added value for all stakeholders of the company, including the public, and to carry out business activities and/or those of its subsidiaries.
All proceeds from the private placement, after deducting expenses, will be used to strengthen the capital structure to support business activities, business development of the company and/or its subsidiaries, and to improve the financial position of the company and/or its subsidiaries, which can benefit all shareholders including the public.
One of the uses is in the form of equity participation in a company operating in the healthcare sector. Specifically, the acquisition of 65 percent, equivalent to 142,393 shares, of Hasna Medika Bakti Cirebon (HMBC). This is based on a conditional share subscription agreement (CSSA) dated 20 August 2026.
