Samudera Indonesia (SMDR) Injects Rp 40.7 Billion into Two Subsidiaries
PT Samudera Indonesia Tbk (SMDR) is strengthening the capital of its subsidiaries. In a disclosure to the Indonesia Stock Exchange (BEI), SMDR management revealed that it has injected Rp 40.7 billion to increase the capital of two controlled companies, namely PT Samudera Properti Indonesia (SPI) and PT Perusahaan Pelayaran Cumawis (Cumawis).
Of the total funds, Rp 33.7 billion was injected into PT Samudera Properti Indonesia, while another Rp 7 billion was allocated to strengthen the capital of PT Perusahaan Pelayaran Cumawis.
Regarding this action, Idaman Putri Erwin, Corporate Secretary of Samudera Indonesia, explained that the shipping issuer absorbed 33,700 new shares issued by Samudera Properti Indonesia. Following the transaction, Samudera Indonesia’s ownership in SPI increased from 27,500 shares to 61,200 shares, with its ownership stake rising from 99.099% to 99.593%.
As a result, the total placed and paid-up capital of SPI after the transaction reached Rp 61.45 billion, divided into 61,450 shares.
In the disclosure to the BEI on Friday (18/09/2026), Idaman stated that the capital increase was conducted to strengthen SPI’s capital structure and support the development of its property business. Management hopes that this capital reinforcement will improve SPI’s operational performance, strengthen business synergies, and drive revenue contributions to Samudera Indonesia’s consolidated results.
In addition to the property business, Samudera Indonesia also added Rp 7 billion in capital to PT Perusahaan Pelayaran Cumawis. In this transaction, SMDR absorbed 7,000 new shares. After the transaction, SMDR’s ownership in Cumawis increased from 36,395 shares to 43,395 shares, with the ownership stake rising slightly from 99.986% to 99.988%. Meanwhile, PT Samudera Wadah Mitra retains five shares, though its proportion decreased from 0.014% to 0.012%.
With this action, the total placed and paid-up capital of Cumawis became Rp 43.4 billion, consisting of 43,400 shares.
“The capital increase is aimed at strengthening the shipping business line, increasing operational synergy within the business group, and supporting the development of Cumawis’s business activities,” said Idaman.
Strengthening the Cumawis business is expected to increase the subsidiary’s revenue and ultimately contribute to Samudera Indonesia’s consolidated income.
In terms of materiality, the value of both transactions is relatively small compared to Samudera Indonesia’s equity. The Rp 33.7 billion investment in SPI is equivalent to approximately 0.24% of SMDR’s total equity, while the Rp 7 billion investment in Cumawis is equivalent to approximately 0.05%.
SMDR’s share price fell 1.01% to the level of Rp 394 per share on Friday (18/09/2026). Over the last five days, SMDR’s shares have risen by 1.03%.
