Samudera Indonesia Injects Rp40.7 Billion into Two Subsidiaries
The shipping and logistics issuer, PT Samudera Indonesia Tbk (SMDR), has taken a strategic step to strengthen its business base. The company has officially injected capital totalling Rp40.7 billion into two of its subsidiaries, namely PT Samudera Properti Indonesia (SPI) and PT Perusahaan Pelayaran Cumawis (Cumawis).
According to public disclosures, the capital increase transactions were carried out on 16 September 2026. The Corporate Secretary of Samudera Indonesia, Idaman Putri Erwin, stated that the first transaction involved a paid-up capital increase in PT Samudera Properti Indonesia (SPI) amounting to Rp33.7 billion. This injection was executed through the issuance of 33,700 new shares in SPI at a par value of Rp1,000,000 per share.
“This move increases SMDR’s shareholding in SPI from the previous 99.099 per cent (27,500 shares) to 99.593 per cent (61,200 shares),” Idaman noted in the document. Meanwhile, the remaining shareholders in SPI are PT Samudera Indonesia Tangguh, holding 0.399 per cent (245 shares), and PT Samudera Wadah Mitra, holding 0.008 per cent (5 shares).
Idaman further explained that the capital injection into SPI aims to strengthen the subsidiary’s capital structure and support business development within the property sector. This capital provision is expected to improve the subsidiary’s financial position in conducting its operational activities, thereby driving more optimal business synergy, increasing consolidated revenue contributions, and ultimately creating sustainable value for all shareholders, particularly public shareholders.
Furthermore, Idaman added that the second transaction was allocated to PT Perusahaan Pelayaran Cumawis with a value of Rp7 billion. The capital injection was conducted through the issuance of 7,000 new shares at a par value of Rp1,000,000 per share. SMDR’s ownership in PT Cumawis increased slightly from 99.986 per cent (36,395 shares) to 99.988 per cent (43,395 shares), while PT Samudera Wadah Mitra holds the remaining 0.012 per cent (5 shares).
“The injection into PT Cumawis is intended to strengthen the shipping business line and the operational synergy of the business group,” Idaman emphasised. Management hopes this additional capital will boost PT Cumawis’s revenue, which in turn will contribute positively to SMDR’s consolidated financial statements.
Both capital increase transactions are categorised as Affiliated Transactions in accordance with POJK No. 42/POJK.04/2020, as both companies are integrated subsidiaries of SMDR. Nevertheless, these transactions are exempt from certain obligations and are not considered material transactions, as their values represent only approximately 0.24 per cent and 0.05 per cent of the company’s total equity, which was recorded at USD 787.77 million as of 30 June 2026.
