RANS Yet to Appoint Replacement for Resigning Director
The management of PT Rans Entertainmen Indonesia Tbk (RANS) has explained the reason for the resignation of Grandy Prajayakti as Director. Grandy submitted his resignation letter on 22 July 2026, several weeks after RANS listed on the Indonesia Stock Exchange. RANS Corporate Secretary Chintami Maranata Sihombing said Grandy’s resignation was due to personal reasons. ‘To the best of the company’s knowledge, the resignation was a personal decision by Mr Grandy Prajayakti and there is no dispute of any kind, either with the company, the Board of Directors, the Board of Commissioners, or the company’s shareholders,’ she said in an information disclosure, quoted on Thursday, 30 July 2026. According to Chintami, there was no discussion or indication regarding Grandy’s resignation plan throughout the initial public offering (IPO) process. This process included the preparation of the prospectus, the registration statement, up to the date of the company’s share listing. Nevertheless, RANS currently has no plans to appoint a replacement director in the near future. Chintami explained that the current Board of Directors consists of one president director and two directors. This composition, she said, still meets the minimum number of board members required for a public company as stipulated in Law Number 40 of 2007 concerning Limited Liability Companies. ‘The duties and responsibilities of Mr Grandy Prajayakti will be distributed to the President Director and/or other currently serving Directors, in accordance with the division of tasks determined by the Board of Directors,’ said Chintami. She mentioned that if at a later date the company deems it necessary to increase the number of Board members, this will be proposed and decided through a General Meeting of Shareholders (GMS). RANS management also stated that in line with Grandy’s resignation, he is no longer serving as a member of the Board of Directors at PT Rans Kosmetik Indonesia (Slavina). This situation, Chintami said, does not impact the plan to acquire Slavina.
