PT RANS Entertainment Indonesia Tbk (RANS), a prominent media and entertainment company owned by celebrity couple Raffi Ahmad and Nagita Slavina, has announced plans to conduct an initial public offering (IPO) on the Indonesia Stock Exchange (BEI). According to a summary prospectus published today, Tuesday (23/6), the company plans to release 2.52 billion new shares, equivalent to 25.25 million lots. This public offering represents 20.02% of the company’s issued and fully paid capital after the IPO. During the book-building period, RANS shares, which have a nominal value of Rp10 per share, are being offered to investors at a price range of Rp135 to Rp170 per share. With this pricing structure, the issuer, which will trade under the ticker code RANS, is targeting fresh funds from the public ranging from Rp340.87 billion to a maximum of Rp429.25 billion. To facilitate this corporate action, the company has appointed PT Trimegah Sekuritas Indonesia Tbk as the lead underwriter. The entry of public investors will proportionally dilute the ownership of the founding shareholders. However, Raffi Farid Ahmad will maintain control and remain the controlling shareholder. The projected changes in shareholding composition before and after the IPO are as follows: Raffi Farid Ahmad (controller) will change from 78.68% to 62.93%; PT Indonesia Entertainmen Grup from 9.04% to 7.23%; Soutan Ariq Rachman from 3.43% to 2.74%; Dony Oskaria from 3.43% to 2.74%; Sutanto Hartono from 1.43% to 1.14%; Nagita Slavina Mariana Tengker from 1.24% to 0.99%; Kaesang Pangarep from 1.14% to 0.91%; and the public will hold 20.02% of the shares.
