RANS Entertainment IPO Offering Period Begins Tomorrow, Shares Priced at Rp170
The company, which focuses on the media, entertainment, and intellectual property management ecosystem, is targeting proceeds of Rp429.25 billion. According to the initial prospectus, RANS will release 2.52 billion shares, equivalent to 20.02% of the issued and paid-up capital. The majority of the funds will be allocated for broad entertainment business expansion, ranging from concert organising to the construction of physical theme park facilities. Some 37.61% will be used for operational expenditure, including organising up to 16 local and international music concerts. A further 19.8% is earmarked for the acquisition of a 51% stake in PT Rans Kosmetika Indonesia (Slavina), and 18.64% for the construction of Cipungland educational playgrounds across nine locations. RANS will also use 8.15% of the shares to establish an artificial intelligence technology company with PT Feedloop Global Teknologi, and 6.98% for the accelerated repayment of an investment credit facility at PT Bank Negara Indonesia Tbk (BBNI). The remaining funds will be used for the development of food and beverage products under the RNS brand. Prior to the IPO, 78.68% of RANS shares were held by Raffi Farid Ahmad, widely known as Raffi Ahmad. PT Indonesia Entertainmen Grup, a subsidiary of PT Surya Citra Media Tbk (SCMA), held 9.04%. Other notable pre-IPO shareholders include Dony Oskaria, Head of the State-Owned Enterprises Supervisory Board and Chief Operating Officer of BPI Danantara, with 3.42%; SCMA President Director Sutanto Hartono with 1.43%; Indonesian Solidarity Party Chairman Kaesang Pangarep with 1.14%; and Raffi Ahmad’s wife, Nagita Slavina Mariana Tengker, with 1.24%. Following the IPO, these shareholdings will be diluted. Raffi Ahmad will hold 62.93%, Indonesia Entertainmen Grup 7.23%, Soultan Ariq Rachman 2.74%, Dony Oskaria 2.74%, Sutanto Hartono 1.14%, Nagita Slavina Mariana Tengker 0.99%, Kaesang Pangarep 0.91%, and PT Ekonomi Baru Investasi Teknologi 0.61%.
