RANS Director Grandy Prajayakti Resigns Citing Personal Reasons, Company Denies Internal Issues

PT Rans Entertainmen Indonesia Tbk. (RANS) has provided an explanation to the Indonesia Stock Exchange (IDX) regarding the resignation of Grandy Prajayakti from his position as a company director. The company owned by Raffi Ahmad affirmed that the decision was based purely on personal reasons and was unrelated to any internal company matters.

In a response letter to the IDX’s request for clarification, RANS management explained that Grandy’s resignation was a personal decision taken without any dispute with the company, the board of directors, the board of commissioners, or shareholders.

“To the Company’s knowledge, the resignation was a personal decision by Mr Grandy Prajayakti, and there was no dispute of any kind, whether with the Company, the Board of Directors, the Board of Commissioners, or the Company’s shareholders,” RANS management wrote in an information disclosure quoted on Thursday (30 July 2026).

The company also dismissed speculation that the resignation plan had been known during the initial public offering (IPO) process. According to the company, from the drafting of the prospectus through to the listing of shares on the Exchange, there was never any discussion or indication of such a plan.

Management said the company only received Grandy’s resignation letter on 22 July 2026.

Regarding the vacant directorship, the issuer with the ticker code RANS said it has no plans to appoint a replacement in the near term. The company considers that the remaining board structure still meets the minimum requirements for a public company, comprising one chief director and two directors.

Grandy’s duties and responsibilities will be distributed to the chief director and other directors in accordance with the division of tasks set by the board. The company also assured that the business strategy and targets presented during the IPO can still be carried out.

Beyond stepping down from RANS, Grandy has also confirmed he no longer serves as a director at PT Rans Kosmetik Indonesia (Slavina) as well as a number of the company’s subsidiaries and affiliates. Those positions will be filled by other parties through the applicable mechanisms. The company stressed that the change does not affect the plan to acquire Slavina or the decision-making process at subsidiaries.

Furthermore, management asserted that Grandy’s resignation has no material impact on the company’s operations, governance, achievement of business plans, or the use of IPO proceeds.

“All of the Company’s operational activities continue to run normally and are supported by solid management and teams, so the Company does not consider any special mitigation steps necessary in connection with this resignation,” the company wrote.

RANS also stated that, to date, it has no plans to change the composition of the board of directors or commissioners other than what was announced in its information disclosure on 24 July 2026. In addition, there is no other material information that investors need to know regarding the resignation.

Previously, RANS Finance Director Rumunggu Yokonapita revealed that the company had received Grandy’s resignation letter on Wednesday, 22 July 2026.

“On 22 July 2026, the Company received a letter of resignation from Mr Grandy Prajayakti as a Director of the Company. The resignation was submitted on the basis of personal reasons,” Rumunggu said in the IDX information disclosure.
