RAJA to Maintain Free Float Despite Rp 250 Billion Share Buyback

Energy company PT Rukun Raharja Tbk (RAJA) has assured that its planned share buyback, worth Rp 250 billion, will not cause the company’s free float to fall below 7.5 per cent. The share buyback period is scheduled from 29 January to 28 April 2026.

Corporate Secretary of Rukun Raharja, Yuni Pattinasarani, stated that the company’s free float refers to the shares as defined in Indonesia Stock Exchange (IDX) Regulation Number I-A.

“In carrying out the share buyback, the company will ensure that the number of free float shares after the buyback does not fall below 7.5 per cent of the total registered shares, in accordance with the applicable provisions of the IDX,” said Yuni in a disclosure of information on Monday, 23 February 2026.

The company also stated that the buyback will not affect the fulfilment of the free float requirement, which will be increased to 15 per cent. Based on the share ownership composition as of 28 January, or before the buyback, the total number of registered shares is 4.22 billion. The number of free float shares is 1.04 billion, or 24.67 per cent.

Yuni stated that the company has conducted a simulation of the Rp 250 billion buyback. The shares resulting from the buyback will be recorded as treasury shares. With this assumption, the total number of registered shares will remain at 4.22 billion. The number of treasury shares will be 54.46 million. The number of free float shares will decrease to 988.43 million, or 23.38 per cent.

“Thus, the percentage of free float shares after the buyback will remain above the current minimum requirement of 7.5 per cent, and will also remain above the potential increase in the minimum limit to 15 per cent as planned in the revision of IDX Regulation Number I-A,” said Yuni.

RAJA also affirmed that the implementation of the buyback in this phase will be carried out through trading on the IDX. Yuni stated that, to date, the company has no plans to conduct a buyback outside the exchange. The IDX member that will facilitate the implementation of the buyback is PT Henan Putihrai Sekuritas.
