PT PP (Persero) Tbk is transferring two of its hotel business units to PT Hotel Indonesia Natour (HIN) for a value of Rp546.5 billion.

The two assets being transferred are Park Hotel Jakarta and Prime Park Hotel & Convention Lombok.

The value of this asset transfer will serve as the basis for the issuance of new Series C shares by PT Hotel Indonesia Natour to PTPP. Subsequently, these Series C shares will be acquired by InJourney as part of the transaction mechanism.

In a disclosure to the Indonesia Stock Exchange (BEI) on Wednesday (1/7/2026), it was stated that the transfer was conducted to provide certainty regarding the realisation of investment values originating from inbreng transactions, or the contribution of assets, to PT Hotel Indonesia Natour.

Furthermore, this transaction is part of the company’s efforts to optimise its business portfolio by concentrating resources on its core business, namely construction services and EPC (Engineering, Procurement, and Construction), which serve as the primary drivers of the company’s growth.

The company believes that this step will make the business structure more focused while simultaneously increasing the efficiency of managing assets outside of its main business activities.

This transaction is classified as an affiliated transaction because both PTPP and PT Hotel Indonesia Natour are under the government as the controlling shareholder. Nevertheless, the company ensures that the execution of the transaction complies with the prevailing regulations regarding affiliated transactions.
