PTBA AGM Approves Rp1.32 Trillion Dividend to Strengthen Business Structure and Governance
PT Bukit Asam (Persero) Tbk (PTBA), a member of the MIND ID Mining Industry Holding, held its Annual General Meeting of Shareholders (AGM) for the 2025 financial year electronically on Thursday, 11 June 2026. During the AGM, shareholders discussed and approved seven agenda items, including the appropriation of the company’s net profit for the 2025 financial year, which amounted to Rp2.93 trillion.
Based on the AGM resolutions, shareholders approved a cash dividend distribution of Rp1.32 trillion, or 45% of the total 2025 net profit. The remaining net profit of Rp1.61 trillion, or 55%, was designated as retained earnings to support business development and maintain the company’s business sustainability.
Shareholders also approved the Annual Report and ratification of the Consolidated Financial Statements, the Board of Commissioners’ Supervisory Duty Report, and the Financial Statements for the Micro and Small Business Funding Programme (PUMK) for the 2025 financial year. The meeting set the salary, honorarium, facilities, and allowances for the 2026 financial year, as well as performance-based remuneration for the 2025 financial year for the company’s management, in accordance with applicable regulations.
The AGM also approved the appointment of a Public Accountant and/or Public Accounting Firm to audit the company’s Consolidated Financial Statements and the PUMK Programme Financial Statements for the 2026 financial year. Furthermore, shareholders approved the delegation of authority to approve the 2026–2030 Long-Term Corporate Plan (RJPP) and the 2027 Work Plan and Budget (RKAP) along with its amendments from the General Meeting of Shareholders to a designated party in accordance with prevailing regulations.
The AGM also approved amendments to the company’s Articles of Association to align with the 2025 Indonesian Standard Industrial Classification (KBLI) as stipulated in the Regulation of the Central Bureau of Statistics Number 7 of 2025. This step was taken to adapt to business needs, regulatory developments, and to strengthen the implementation of good corporate governance.
Corporate Secretary of PTBA, Eko Prayitno, stated that all decisions made at the AGM reflect the company’s commitment to maintaining a balance between delivering added value to shareholders, strengthening the capital structure, and ensuring sustainable business development. “Amid the dynamics of the mining and energy industry, PTBA continues to strive to maintain optimal operational performance, improve efficiency, strengthen coal downstream processing, and develop various business initiatives that support sustainable growth and long-term value creation for all stakeholders,” said Eko.
Throughout 2025, PTBA recorded revenue of Rp42.65 trillion. This performance was supported by export sales contributing 46% and domestic sales 54%. The five largest export destination countries for PTBA were Bangladesh, India, Vietnam, South Korea, and the Philippines. In terms of financial position, the company’s total assets as of 31 December 2025 reached Rp43.92 trillion, an increase of 5% compared to the year-end 2024 position of Rp41.79 trillion. This increase was primarily driven by a 12% rise in non-current assets, or approximately Rp3.12 trillion.
