PT Astrindo Nusantara Infrastruktur Tbk (the Company) (IDX: BIPI) has submitted a Material Information or Fact Report regarding the Acquisition of Shares in PT Maharaksa Energi Hijau (MEH). According to the disclosure to the Indonesia Stock Exchange (BEI) on Wednesday (8/4), the Company has signed Share Sale and Purchase Deed No. 05 dated 6 April 2024 with PT Maharaksa Kapital Indonesia, a business group of PT Maharaksa Biru Energi Tbk (IDX: OASA), which operates in the fields of waste processing industry, energy, and environmentally conscious property. “The Company has agreed to purchase shares in PT Maharaksa Energi Hijau (MEH) amounting to 1,000 (one thousand) shares with a nominal value of Rp500,000 (five hundred thousand Rupiah) per share, or 20% of the total shares issued by MEH, resulting in a total purchase value of Rp500,000,000 (five hundred million Rupiah),” stated Kurniawati Budiman, Corporate Secretary of PT Astrindo Nusantara Infrastruktur Tbk. The signing of the Share Sale and Purchase Deed (Transaction) is part of the Company’s strategy to strengthen its investment portfolio in the green energy sector, supporting the development of sustainable energy business, thereby enhancing long-term added value for the Company. The Company’s management believes that this Transaction provides strategic value and aligns with the direction of the Company’s business development. It is known that the Company has no affiliation with MKI and MEH as per POJK No. 42/POJK.04/2020 on Affiliated Transactions and Conflict of Interest Transactions. Furthermore, the aforementioned Transaction value does not constitute a material transaction because its value is less than 20% of the Company’s total equity as regulated in 17/POJK.04/2020 on Material Transactions and Changes to Main Business Activities.
