Protelindo Launches Tender Offer for SUPR at IDR 45,000 per Share
PT Profesional Telekomunikasi Indonesia (Protelindo) has officially announced a Voluntary Tender Offer (VTO) for the shares of PT Solusi Tunas Pratama Tbk (SUPR) at a price of IDR 45,000 per share. This strategic step aims to take the company private and delist its shares from the Indonesia Stock Exchange (BEI), following approval from independent shareholders obtained during an Extraordinary General Meeting of Shareholders (RUPSLB) on 20 May 2026.
Protelindo currently holds 1,107,187,889 shares in SUPR directly, representing 97.33% ownership, while its indirectly controlled entity, PT Iforte Solusi Infotek, holds 29,411,765 shares, or 2.58%. Combined, Protelindo’s direct and indirect ownership totals 1,136,599,654 shares, representing 99.91% of SUPR’s total shares. Upon completion of the tender offer, Protelindo will hold 1,137,579,698 shares, achieving full 100% ownership of the target company.
The offer price of IDR 45,000 per share exceeds the minimum price requirement, which was calculated at IDR 42,295 based on the highest daily trading price on the BEI. The voluntary tender offer period is scheduled to run for 30 business days, from 24 July 2026 to 24 August 2026, with transactions conducted daily between 08:30 and 16:00 Western Indonesia Time.
Participating public shareholders are required to complete and submit a Share Transaction Transfer Form to the Securities Administration Bureau according to established procedures. All share transactions will be executed through a crossing mechanism on the Indonesia Stock Exchange, with settlement processed in accordance with the regulations of the Indonesian Central Securities Depository (KSEI). Public shareholders who choose not to participate in the tender offer will retain their shares, even after the company becomes private. Payment to participating shareholders will be made no later than 12 days after the offer closes, on 4 September 2026, provided all required documents are fulfilled, with all payments made in Indonesian rupiah.
