Prima Multi Usaha Indonesia (PMUI) Extends Share Takeover Negotiations
PT Prima Multi Usaha Indonesia Tbk (PMUI), an issuer specialising in telecommunications wholesale and management consultancy, has officially extended the validity of its initial Term Sheet regarding the company’s planned takeover until 31 December 2026.
The extension agreement was formalised through the signing of an Addendum Term Sheet on 2 September 2026, involving PT Tunas Binatama Lestari as the Buyer, PT Prima Multi Usaha Indonesia Tbk as Seller 1, and Agus Susanto as Seller 2.
The legal document was signed directly by Jonny, the President Director of PT Tunas Binatama Lestari, and Agus Susanto, who serves as the President Director of PT Prima Multi Usaha Indonesia Tbk.
Following this agreement, PMUI management submitted a Material Fact Report to the Financial Services Authority (OJK) and the Indonesia Stock Exchange (BEI) via letter number 1-065/PMUI-CORCA/IX/2026, dated 3 September 2026.
In the written report signed by PMUI Director Ari Purwandini, it was explained that the extension was implemented to allow adequate room for discussion, as the transaction’s deliberation and negotiation processes are still ongoing.
The planned transaction, originally agreed upon on 12 February 2026, encompasses three main schemes: the takeover of shares by the Buyer, the repurchase of assets and businesses by the Sellers, and the injection of new assets and businesses by the Buyer.
Under the terms of the addendum, all previous terms and conditions remain in effect; however, the agreement will automatically expire if the planned transaction is not completed by 31 December 2026.
Management has ensured that the disclosure of this material fact regarding the negotiation extension will not have any negative impact on the company’s operational, legal, financial, or business continuity status.
