NINE Issuer Prepares Rights Issue for Mongolia Mine Acquisition
JAKARTA, KOMPAS.com - PT Techno9 Indonesia Tbk (NINE) has announced plans for a strategic corporate action through a capital increase with pre-emptive rights (PMHMETD) or rights issue to support expansion into the mining and energy sectors, including the acquisition of mine assets in Mongolia.
The plan will be discussed at an Extraordinary General Meeting of Shareholders (RUPSLB) scheduled to take place online on 7 May 2026.
The meeting agenda also includes changes to the composition of the Board of Directors and Board of Commissioners, revisions to the Articles of Association, and granting authority to the Board of Directors to execute the corporate action.
This step marks a new phase for the Company following the entry of Poh Group as the controlling shareholder, while also signifying a business transformation from the information technology sector towards energy and mining.
“We see significant opportunities for Techno9 in various lines, from mining, energy, to value-added downstream products,” said Irwan in an official statement on Thursday (30/4/2026).
“Although we are venturing into new sectors, we will continue to maintain the use of high-value technology (higher value IT services) and explore other opportunities,” he added.
He further stated that the company’s main strength remains in the utilisation of technology, including the development of energy based on waste and biomass.
“We will implement our own proprietary technologies that have been commercially proven, including the development of energy from waste (waste to energy) and biomass,” he said.
“This is our commitment to sustainability and operational efficiency, which also aligns with supporting the Government’s programme in energy resilience,” Irwan continued.
“There is no cash cost to acquire the Mongolia mine asset; the asset will be injected into the company through the PMHMETD process,” he explained.
In addition to expansion, the Company is also strengthening its financial foundation through a planned reverse takeover (RTO) by merging Poh Group’s mining and energy businesses into the company’s structure.
NINE was listed on the Indonesia Stock Exchange (BEI) on 5 December 2022. NINE set its IPO price at Rp 75 per share with a total of 432 million shares offered.
NINE was initially known to operate in the information technology sector, specifically trading computers and supporting devices.
In its operations, the company provides one-stop solution services in the IT field that cover various corporate needs, from IT managed services, provision of technology infrastructure, network and cabling solutions, to CCTV-based surveillance systems.
Along with business developments, NINE is now also undergoing a strategic transformation by expanding its business focus to broader sectors, while still maintaining its core strength in high-value technology.
