NexAI (MGLV) Plans Rights Issue, Aiming to Raise Rp2.53 Trillion
The data centre issuer PT NexAI Digital Infrastruktur Tbk (MGLV) plans to increase its capital through a first rights issue (PMHMETD I), targeting a maximum of Rp2.53 trillion in fresh funds.
In this corporate action, the Company will offer up to 285,732,512 registered ordinary shares. The nominal value is set at Rp20 per share, equivalent to 13.04% of the Company’s total shares following the implementation of the rights issue.
Each preemptive right entitles the holder to purchase one new share at an execution price of Rp8,880 per share. According to an information disclosure from the Indonesia Stock Exchange (BEI) on Friday (11/09/2026), shareholders listed in the Register of Shareholders as of 3 November 2026, at 16:00 WIB, will be entitled to 15 rights for every 100 shares held.
PT Nextier Datamate Center (NDC), the Company’s majority shareholder with a 65.10% stake, has stated it will exercise all rights entitled to it. NDC intends to take up 186,000,000 rights, with an execution value of approximately Rp1.65 trillion.
The Company stated that the proceeds from the rights issue, after deducting issuance costs, will be used for several purposes. Specifically, approximately Rp668.61 billion will be used to take over NDC’s receivables from PT Nextier Askara Center (NAC) amounting to Rp668.45 billion and NDC’s receivables from PT Nextier GenAi Center (NGC) amounting to Rp160 million, based on a Share and Receivable Sale and Purchase Agreement dated 2 July 2026.
Furthermore, approximately Rp1.6 trillion will be allocated as capital injections by the Company into NAC and NGC as its subsidiaries. Of this amount, around Rp1 trillion will be injected into NGC for the construction of data centre facilities in the Batang Integrated Industrial Estate (KITB). The capital injection into NGC will be used to pay for land, building, and infrastructure leases, as well as machinery and equipment for the KITB data centre development. These funds may also be used to reimburse development costs previously paid by NDC.
NGC holds rights to use 144,582 square metres of industrial land under Industrial Land Utilisation Agreement No. 95 dated 27 April 2026. Following the capital injection, the Company will maintain a 99.9% stake in NGC, which is not yet operating commercially at the time of the prospectus issuance.
Meanwhile, approximately Rp600 billion will be injected into NAC for the development of data centre facilities in Jababeka, Cikarang, West Java. This fund will be used for the procurement of machinery and equipment, as well as the reimbursement of development costs previously paid by NDC. Following this injection, the Company will retain a 9ly.9% stake in NAC, which is already operating commercially.
The remaining proceeds from the rights issue will be used as working capital to finance day-to-day operational activities, including employee salaries and benefits, professional services such as tax, audit, and IT consultants, tax expenses, and financial costs.
