Badan Pengelola Investasi Daya Anagata Nusantara (Danantara) and BP BUMN are carrying out a major restructuring by consolidating four investment managers (MI) owned by state-owned banks into PT Danareksa.

This step marks Danareksa’s return to its original function (khitah) as an asset management entity, after previously operating as a multi-sector holding. The four entities being consolidated are PT Mandiri Manajemen Investasi (subsidiary of BMRI), PT BRI Manajemen Investasi (subsidiary of BBRI), PT BNI Asset Management (subsidiary of BBNI), and PT PNM Investment Management.

The Head of BP BUMN and COO of Danantara, Dony Oskaria, revealed that this integration is projected to elevate Danareksa’s position as Indonesia’s second-largest asset management company with total assets under management (AUM) reaching Rp185 trillion.

“Danareksa is no longer a multi-sector holding, but is merging into one strong company. We are returning Danareksa to its function as the second-largest asset management firm in the country,” Dony stated to the media in Jakarta on Thursday (30/4/2026).

Spin-off and Release of Business Units

As part of this transformation, Danareksa will spin off several business units that do not align with the focus on asset management. Sectors such as industrial zones, construction (works), financial services, and clearing, which were previously under Danareksa, will be transferred to their respective relevant sectoral holdings.

The process of releasing these subsidiaries is targeted to be completed by mid-May 2026, while the official announcement of the consolidation results is scheduled for 10 May. Dony emphasised that this business model change aims to enable Danareksa to operate more efficiently, solidly, and professionally in optimising the value of state assets.

Acquisition Worth Rp2.7 Trillion

This transformation began with an acquisition by PT Danantara Asset Management (Persero) of the four SOE bank MIs with a total transaction value of Rp2.7 trillion. This corporate action was carried out through a conditional sale and purchase agreement effective from 1 April 2026.

Based on disclosures, Danantara spent Rp1 trillion to acquire 99.93% of shares in Mandiri Manajemen Investasi. In addition, acquisitions were made of 65% of shares in BRI Manajemen Investasi worth Rp975 billion, 99.9% of shares in BNI Asset Management for Rp359.64 billion, and 99.99% of shares in PNM Investment Management worth Rp345 billion.

With full control over these giant investment managers, Danareksa is now preparing to become the main engine of state investment management under the broad umbrella of Danantara.
