Mobix Labs Signs Definitive Agreement to Acquire Vision Aerial, Accelerating Global Drone Platform for National Security and Airborne Intelligence
Mobix Labs, Inc. (Nasdaq: MOBX) today announced that it has signed a definitive agreement to acquire Vision Aerial, Inc., a United States-based company that designs and manufactures American-made unmanned aircraft systems compliant with the National Defense Authorization Act (NDAA).
The definitive agreement follows a previously announced Letter of Intent (LOI) and represents an important step towards completing an acquisition that will expand Mobix Labs’ presence in one of the world’s most important technology growth markets: high-security drones, autonomous aerial systems and aerial intelligence for national security, critical infrastructure, the energy sector, public safety, industrial inspection and government operations.
Vision Aerial’s customers and end users include the United States Air Force, the United States Navy, various government agencies, energy and utility operators, research institutions and other organisations requiring high performance, reliability and a trusted supply chain. Vision Aerial’s drones support a wide range of national security and public safety operations, search and rescue, wildfire response, energy and infrastructure inspection, environmental monitoring, agriculture, industrial mapping and advanced aerial sensing.

Terms of the Transaction
Under the definitive agreement, Mobix Labs plans to acquire Vision Aerial for a total transaction value of approximately US$15 million, to be paid through a combination of cash and Mobix Labs common stock. The transaction is expected to close this quarter, subject to customary closing conditions, including shareholder approval.
Upon completion, Mobix Labs plans to integrate Vision Aerial into its growing autonomous systems business line, retaining Vision Aerial’s key leadership and its US-based production operations.
