Jakarta, CNBC Indonesia – Telecommunications issuer PT Remitra Global International Tbk (MKNT), previously known as PT Mitra Komunikasi Nusantara Tbk, has officially entered a new chapter after all agenda items of its Extraordinary General Meeting of Shareholders (EGMS) were approved by shareholders.

The EGMS, held at the Manhattan Hotel in Jakarta on 14 September 2026, approved six agenda items, including a capital increase without granting Pre-emptive Rights (PMTHMETD), a change of company name, a change of controller, amendments to the Articles of Association, and changes to the composition of the Board of Directors and Board of Commissioners.

The corporate action forms part of the company’s strategy to improve its financial condition whilst building a foundation for long-term business growth. Through the PMTHMETD, the company will carry out a capital increase valued at up to Rp1.024 trillion.

The funds come from several sources. A portion will be used to convert the company’s obligations to two creditors into new shares.

Obligations of Rp668 billion to PT Headwell Bintang Energi Hijau and Rp154.925 billion to PT Mantra Capital Persadan will be converted into shares.

In addition to the debt conversion, the company will also receive a cash injection of Rp200 billion from five independent investors, plus a further Rp1.5649 billion from PT Mantra Capital Persadan.

With the completion of the PMTHMETD, the company stated that its equity position has returned to positive territory. This condition is expected to give the company room to resume its operational activities with a healthier capital structure.

New Controller Comes On Board

The change in capital structure also brings consequences for the company’s ownership and control. As a direct legal effect of the PMTHMETD, PT Headwell Bintang Energi Hijau will become the new controller of Remitra Global International.

Handoyo Setiawan has been designated as the ultimate beneficial owner of the new controller. This change of controller also marks a major transformation in the company’s business direction, following its previous incarnation as PT Mitra Komunikasi Nusantara Tbk.

The business transformation of Remitra Global is not only marked by changes in capital structure and control. Earlier, on 29 May 2026, the company completed the acquisition of two operational entities, namely PT Citra Baru Steel and PT Radja Udang Malingping.

PT Citra Baru Steel operates in the reinforcing steel manufacturing sector, whilst PT Radja Udang Malingping runs a shrimp pond aquaculture business. With the entry of these two entities, the company’s business portfolio now has exposure to the steel manufacturing and aquaculture fisheries sectors.

The move forms part of the company’s efforts to build new sources of growth whilst creating added value for shareholders.

The EGMS also approved changes to the company’s management composition. For the Board of Commissioners, Handoyo Setiawan was appointed as President Commissioner, with Erry Firmansyah serving as Independent Commissioner and Idrus Marham as Commissioner.

On the Board of Directors, Santoso Widjojo has been entrusted as President Director, whilst Jehuda Ebenhaezer Winata serves as Director.

President Director of Remitra Global International, Santoso Widjojo, said the EGMS marks the beginning of a new phase in the company’s journey.

“Today’s EGMS is the start of a new chapter for the company. With a healthy capital structure and strengthened governance, we have a solid foundation to move forward,” said Santoso.

Going forward, the company will prioritise the implementation of the full series of corporate actions, strengthen the performance of its subsidiaries, and fulfil its various commitments to regulators and business partners.

In addition, the company will also explore new business activities deemed capable of delivering added value for shareholders.

With the change of name, controller, capital structure, and the entry of the steel and shrimp farming businesses, Remitra Global International is now preparing a business and financial transformation to enter its next phase of growth.
