JAKARTA, KOMPAS.com - PT Merdeka Copper Gold Tbk plans to issue new shares through a private placement scheme. The company is preparing up to 2.44 billion new shares. This action could potentially cause dilution of current shareholders’ ownership by up to 9.091%. “Following the effective implementation of the private placement, the percentage of share ownership by the company’s current shareholders will experience dilution of a maximum of 9.091%,” stated management in a disclosure to the Indonesia Stock Exchange on Wednesday (6/5/2026). The investors involved are typically institutions, such as banks, insurance companies, and pension funds. The number of shares to be issued amounts to 2,447,298,377 shares with a nominal value of Rp 20 per share. This figure is equivalent to 10% of the total shares that have been placed and fully paid up. Management stated that this step aims to strengthen capitalisation and create room for expansion. “To develop the company’s business activities and to have the opportunity to carry out potential expansion, the company deems it necessary to strengthen its capital structure,” management continued. This step is seen as improving the capital structure and liquidity. The company will also gain greater flexibility for funding expansion. The company will seek approval at the Annual General Meeting of Shareholders on 11 June 2026. The implementation of the private placement must be completed no later than two years after approval is granted.
