The shipping issuer PT Mitrabahtera Segara Sejati Tbk (MBSS) has announced that the company’s controlling shareholder, PT Galley Adhika Arnawama, will divest its shares. PT Galley Adhika Arnawama has signed a conditional agreement to sell 82.5% of MBSS shares to PT Wibowo Group Capital.

MBSS Corporate Secretary Emy Oktavia said a conditional share purchase agreement (CSPA) had been signed to sell 1.44 billion MBSS shares out of the company’s total fully paid-up issued capital.

“The signing of the CSPA is an initial binding stage between the parties in the execution of the share acquisition transaction of the company,” Emy said in a disclosure to the Indonesia Stock Exchange (IDX) on Wednesday (22 July 2026).

The closing of the transaction will be carried out once all conditions precedent as stipulated in the CSPA have been fulfilled or waived in accordance with the provisions of the CSPA.

“The transaction between the seller and the buyer involves no affiliated relationship and contains no conflict of interest,” she added.

Nevertheless, the signing of the CSPA will have no material impact on the company’s business activities. Meanwhile, MBSS shares surged 7.78% to Rp 2,770 per share at the close of trading on Tuesday (21 July 2026).
