Massive Corporate Action! CDIA Subsidiary Invests USD90 Million in CUAN Affiliate

PT Chandra Daya Investasi Tbk (IDX: CDIA) has submitted a Material Information or Fact Report regarding an Affiliated Transaction related to a Conditional Agreement for Share Subscription in PT Armada Maritim Persada (PT AMP). In order to implement its business development strategy and increase value for shareholders, the Company continuously evaluates various investment opportunities aligned with the Group’s business objectives and direction. In connection with this, on 30 June 2026, PT Chandra Shipping International (PT CSI), a subsidiary of the Company, PT Petrindo Jaya Kreasi Tbk (IDX: CUAN), and PT Armada Maritim Persada signed a Conditional Agreement for Share Subscription in PT Armada Maritim Persada. Based on the Agreement, PT CSI plans to invest in PT AMP by subscribing to new shares to be issued by PT AMP, with an investment value of USD90,000,000. PT CSI will hold a 40 per cent ownership stake in PT AMP. The investment is made to support PT AMP’s growth and business development plans and is expected to provide economic benefits to the Group through potential increases in investment value and dividend receipts. Merly, Corporate Secretary of PT Chandra Daya Investasi Tbk, stated that the object of the transaction is the acquisition of 40 per cent of new shares in PT AMP by PT CSI, subject to the fulfilment of preliminary conditions. The transaction value is USD90,000,000, and payment will be made in Rupiah using the Bank Indonesia middle rate published one working day before the payment date. The Agreement is effective from the date of signing and will remain in force unless terminated earlier in accordance with its provisions. The governing law is Indonesian law, with dispute resolution through the Indonesian Arbitration Board.
