KOKA Signs IDR 37.19 Billion CSPA on 6 March
PT Koka Indonesia Tbk signed a Conditional Share Purchase Agreement (CSPA) valued at IDR 37.19 billion on 6 March 2026. The company disclosed this development to the Financial Services Authority (OJK) on Friday evening (6 March), stating that the step represents a follow-up to a Memorandum of Understanding (MoU) previously signed on 15 September 2025.
The CSPA signing on 6 March 2026 forms part of the company’s strategy for business network development and enhancement of business prospects, particularly in the infrastructure construction sector.
In the transaction, the sellers are Gao Jing, Sun Ling, Gao Jinfeng, and PT Kreatif Konstruksi Indonesia. The buyer is PT Liqun Investments Indonesia. The transaction value is recorded at IDR 37.19 billion.
Management stated that the transaction is undertaken to develop and expand the business network so as to enhance business development prospects in the construction sector, particularly for infrastructure projects.
The company also confirmed that there are no affiliate relationships between the parties involved in the transaction. Gao Jing, Sun Ling, Gao Jinfeng, and PT Kreatif Konstruksi Indonesia do not have affiliate relationships with PT Liqun Investments Indonesia. Furthermore, as of the date of the information disclosure, PT Liqun Investments Indonesia does not hold any share ownership in KOKA.
Management believes the transaction will deliver positive impact on the company’s operational activities and business development, including through increased business capacity in the construction sector, strengthened investment climate, and optimisation of good corporate governance practices.
Transaction completion remains subject to fulfilment of various preliminary conditions as stipulated in the CSPA agreement and applicable statutory regulations.
The company also confirms that this transaction is not an affiliate transaction as defined under OJK Regulation No. 42/POJK.04/2020 concerning Affiliate Transactions and Conflicting Transactions.
