Investors Take Note! BNI (BBNI) Plans IDR 627 Billion Share Buyback
PT Bank Negara Indonesia (Persero) Tbk. (BBNI) is planning to conduct a share buyback for the second time this year, with a maximum value of IDR 627 billion.
In connection with significant market fluctuations as stipulated by the Financial Services Authority (OJK) through OJK Letter No. S-10/D.04/2026, the company plans to carry out a buyback to counter selling pressure in the market, management said in an information disclosure quoted on Tuesday (28/7/2026).
In the disclosure published on 27 July 2026, BNI announced the buyback will be executed using the company’s internal cash. The estimated buyback value does not exceed 20% of paid-up capital and has accounted for costs such as brokerage commissions and other fees estimated at a maximum of 0.30% of the estimated buyback value.
Assuming BNI uses free cash flow for the buyback of up to IDR 627 billion, assets and equity will decrease by a maximum of that amount. However, the company believes the impact on operational costs will be immaterial, and profit and loss are still expected to be in line with targets.
Regarding these matters, the company is confident that the buyback will not have a material negative impact on its business activities, considering the company has sufficient capital and cash flow to finance the transaction alongside its business operations, management stated.
Based on BNI’s analysis, there will be no significant changes to the company’s financial indicators due to the buyback. BNI stated the buyback will be carried out at a price deemed good and fair by the company, in compliance with POJK 13/2023 and other applicable regulations.
The buyback will be executed in stages or all at once within a maximum period of 3 months after the Buyback Information Disclosure is published. In other words, the buyback period is estimated to run from 27 July to 26 October 2026.
Shares repurchased through the buyback will be transferred in accordance with OJK regulations governing share buybacks by publicly listed companies. Earlier this month, BNI announced it had completed a previous share buyback. That buyback, worth a maximum of IDR 905.48 billion, received approval at the Annual General Meeting of Shareholders (RUPST) held on 9 March 2026. Through an information disclosure, BNI stated it had ceased the buyback after repurchasing a total of 77,856,100 shares.
