Jakarta, CNBC Indonesia - Baby food issuer PT Hassana Boga Sejahtera Tbk (NAYZ) has announced that Saiko Consultancy Pte Ltd has acquired 750 million shares owned by Asia Intrainvesta at a price of Rp23.5 per share.

Based on information disclosure on the Indonesia Stock Exchange (IDX), as quoted on Friday (21/8/2026), the total transaction value of the share acquisition reached Rp17.6 billion. After the transaction on 19 August 2026, Saiko controls 29.41% of NAYZ shares and becomes the new controller.

The acquisition was carried out to support the expansion and strengthening of Saiko’s business. Furthermore, Saiko appointed Saiko Consultancy Grand, 99.98% of whose shares are owned by Saiko, to carry out a mandatory tender offer in accordance with applicable regulations.

Interestingly, the purchase price is only about a quarter of NAYZ’s IPO price in February 2023, which reached Rp100 per share.

Compared with NAYZ’s market price one day before the transaction, the discount is also quite deep. On 18 August 2026, NAYZ shares closed at Rp58 per share, or about 147% higher than the takeover price by Saiko.

This takeover is a follow-up to the Conditional Sale and Purchase Agreement signed by Saiko and Asia Intravesta on 30 June 2026.
