JAKARTA - PT Geoprima Solusi Tbk (GPSO) is opening opportunities to increase its acquisition stake in three affiliated companies. Ownership could rise from the initial plan of 70% to nearly full control.

GPSO’s President Director, Dionysius Tjokro, stated that the company could increase its stake to 99.99% in PT Pulogadung Tempajaya (PTJ), PT Tjokro Bersaudara Komponenindo (TBK), and PT Jakarta Marten Logamindo (JML).

“There is a possibility that the company will add shares up to 99.99%,” he said in a press statement on Tuesday (31/3/2026).

The plan for increased ownership demonstrates a more aggressive expansion strategy. Management believes that greater control will strengthen consolidation and efficiency.

Nearly full ownership provides flexibility in strategic decision-making. Synergies between entities are also expected to be more optimal.

The three target companies are part of the Tjokro Group’s manufacturing ecosystem. The business chain covers forging, machining, to heat treatment processes.

This step is part of the strategy following the change in control. Focus is directed towards strengthening fundamentals and long-term growth.

From a funding perspective, management is still reviewing several options. Considered schemes include bank loans, debt issuance, to rights issues.

In addition, the company is also considering share swaps, issuance of low-interest debt instruments, and the purchase of long-term management rights.

The review process is ongoing. Due diligence is targeted to be completed in April 2026.

The next stage includes funding applications and approval at the Extraordinary General Meeting of Shareholders (RUPSLB) in June 2026.

If it proceeds as planned, the rights issue and transaction completion are targeted for December 2026.
