GoTo Confirms Danantara's Entry into Its Shares, Ownership Still Below 1 Percent
PT GoTo Gojek Tokopedia Tbk, or GOTO, has finally spoken out regarding reports of the Badan Pengelola Investasi Daya Anagata Nusantara (Danantara) entering as one of the company’s shareholders. This clarification comes alongside media reports linking the share ownership to the government’s policy direction towards the online motorcycle taxi industry, particularly the discourse on limiting applicator deductions to below 10 percent. In an official letter to the Indonesia Stock Exchange (BEI) dated 5 May 2025, GOTO confirmed the purchase of shares by Danantara through the regular market. However, the number of shares accumulated remains below 1 percent. “We understand that the Badan Pengelola Investasi Daya Anagata Nusantara (Danantara) has purchased a number of the Company’s shares through the Exchange in an amount of less than 1 percent of the shares issued by the Company,” stated Company Secretary R.A. Koesoemohadiani in the information disclosure quoted on Thursday, 7 May 2026. According to her, Danantara’s entry is seen as a positive signal of investor confidence in the company’s business fundamentals. “The Company welcomes this investment, as well as investments from all other stakeholders, as a reflection of ongoing confidence in the Company’s business fundamentals, performance, and long-term prospects,” said Koesoemohadiani. She added that investor confidence, including from state-owned investment institutions like Danantara, serves as motivation for the company to continue maintaining performance and conducting business sustainably. “This confidence serves as positive motivation for the Company to continue conducting business activities sustainably, professionally, and based on good corporate governance,” she continued. Furthermore, GOTO emphasised that all reporting obligations related to share ownership have been fulfilled in accordance with regulatory provisions. Since March 2026, the company has routinely submitted share ownership reports to the BEI, particularly for shareholders with ownership between 1 percent and 5 percent. However, the company explained that this data is limited and only submitted to the stock exchange authority. Meanwhile, public information regarding share ownership above 1 percent is available through official announcements by the Indonesia Central Securities Depository (KSEI) on the Indonesia Stock Exchange website. The issue of Danantara’s share ownership has emerged amid increasing government attention to the online transportation sector. Previously, the government through President Prabowo Subianto, during the May Day event at the National Monument, openly urged that deductions imposed by applicators on driver partners be reduced to below 10 percent to improve driver welfare. Koesoemohadiani said that the company is still awaiting further information from the government regarding Presidential Regulation Number 27 of 2026 on the protection of online transportation workers, including waiting for a copy of the regulation before conducting a review. “Subsequently, the company will conduct a comprehensive review and develop an appropriate business plan for the implementation of these provisions,” she stated. GoTo emphasised that it will continue to coordinate with the government and all stakeholders involved. Danantara CEO Rosan Perkasa Roeslani has also conveyed the government’s plan to increase share ownership in GoTo gradually. Meanwhile, initial information regarding the acquisition plan was first revealed by Deputy Speaker of the DPR Sufmi Dasco Ahmad in his statement during a meeting with a labour union alliance at the parliamentary complex in Jakarta on Friday, 1 May 2026. On that occasion, Dasco explained that the government’s entry into the applicator company aims to pressure the reduction of commissions charged to online motorcycle taxi drivers. This policy runs parallel to the issuance of Presidential Regulation Number 27 of 2026, which takes effect in 2026, stipulating a reduction in commission deductions from the previous range of 10 to 20 percent to a maximum of 8 percent. The current shareholding structure of PT GoTo Gojek Tokopedia Tbk is dominated by the public or free float, controlling around 912.55 billion shares or equivalent to 76.61 percent. This is followed by global institutional investors SVF GT Subco (Singapore) Pte. Ltd. with 91.10 billion shares or 7.65 percent and Taobao China Holding Limited with 88.53 billion shares or 7.43 percent. The company also holds treasury shares of 37.44 billion shares or 3.14 percent. From the internal shareholders’ side, PT Saham Anak Bangsa is recorded as holding 26.89 billion shares or 2.26 percent. Company founder William Tanuwijaya holds ownership through several entities totaling 12.59 billion shares or 1.06 percent, plus an additional 2.13 billion shares or 0.18 percent. Melissa Siska Juminto is recorded as holding 4.04 billion shares or 0.34 percent and 1.09 billion shares or 0.09 percent, while Kevin Bryan Aluwi holds 3.27 billion shares or 0.27 percent. The public warrant holders have 2.86 billion shares or 0.24 percent. From the board of directors and commissioners, Andre Soelistyo holds 6.73 billion shares or 0.57 percent, Hans Patuwo 763.02 million shares or 0.07 percent, Catherine Hindra 493.72 million shares or 0.04 percent, Santoso Kartono 394.01 million shares or 0.03 percent, Agus D.W. Martowardojo 169.59 million shares or 0.01 percent, Monica Lynn Mulyanto 66.90 million shares or 0.01 percent, and Sudhanshu Raheja 33.86 million shares with a portion below 0.0001 percent.
