Jakarta — The number of shareholders in PT Leyand International Tbk (LAPD) has increased significantly in recent months, coinciding with changes in the controlling structure and planned business transformation initiatives being prepared by the company.

Based on the Monthly Report on Securities Holder Registration (LBRE) as of 28 February 2026 submitted to the Indonesian Stock Exchange (IDX), the number of LAPD shareholders reached 8,832. This represents an increase of approximately 1,829 investors compared with the previous month’s position of 7,003 shareholders.

The increase in investor numbers is occurring amid a restructuring of the company’s ownership structure. Currently, approximately 51 per cent of LAPD shares are held by the new controlling shareholder, JSI Sinergi Mas, whilst the remaining approximately 49 per cent is held by the public or free float.

The entry of the new controlling shareholder occurred following JSI Sinergi Mas’ completion of a share acquisition in November 2025. In this transaction, JSI Sinergi Mas purchased approximately 2.08 billion LAPD shares from several existing shareholders, including Layman Holdings Pte Ltd.

The mandatory tender offer has been conducted over a 30-day period, from 28 February to 29 March 2026, at an offering price of Rp 51 per share.

Through this action, JSI Sinergi Mas is offering to purchase up to 1.65 billion shares, or approximately 41.62 per cent of the total shares issued and fully paid, with a maximum transaction value of approximately Rp 84.2 billion.

The new controlling shareholder has also confirmed that it has secured adequate funds to complete all payment obligations in executing the mandatory tender offer.

Meanwhile, the company’s management is preparing business transformation steps by expanding into the energy and mining sectors.

One of the initiatives being prepared is a planned acquisition of mining contractor company PT Bersaudara Sinergi Sejahtera, which is expected to become a new revenue source for the company.
