PT Enseval Putera Megatrading Tbk (IDX: EPMT) has adjusted the capital structure of its subsidiary, PT Mitra Ananda Megadistrindo (MAM). The company emphasised that this corporate action is part of the group’s investment structure reorganisation and has no material impact on the company’s operational activities or financial condition. Based on information disclosure submitted to the Indonesia Stock Exchange (BEI), EPMT reduced the issued and paid-up capital in MAM as part of optimising the capital structure within the group. Corporate Secretary Sugianto explained that the move was taken to adjust the capital requirements of the subsidiary without changing the company’s control over MAM. ‘The capital reduction in PT Mitra Ananda Megadistrindo was carried out as part of the group’s capital structure adjustment. This transaction does not have a material impact on the company’s operational activities, financial condition, or business continuity,’ said Sugianto. The company explained that the capital reduction was carried out in accordance with applicable laws and regulations and obtained approval from the shareholders of PT Mitra Ananda Megadistrindo. Management also confirmed that the corporate action does not change MAM’s status as a subsidiary or the company’s control structure over the entity. As a distributor of health products, pharmaceuticals, medical devices, and consumer goods, Enseval periodically evaluates the investment structure of its subsidiaries to support group management efficiency and strengthen long-term business fundamentals. The company stated that the transaction is not a Material Transaction or an Affiliated Transaction containing a Conflict of Interest as stipulated in the Financial Services Authority (OJK) regulations. Management considers the corporate action to be more administrative and strategic in nature, aimed at strengthening the governance of the group’s capital structure while ensuring the company’s flexibility to support future business development.
