PT Era Media Sejahtera Tbk (DOOH) is preparing four corporate actions to support its business transformation into an integrated artificial intelligence (AI) ecosystem infrastructure provider in Indonesia.

One of its strategic steps is the plan to take over a 29.88% stake in PT Sinergi Inti Andalan Prima Tbk (INET) through its subsidiary, PT Cakrawala Nexus Investama (CNI), from PT Abadi Kreasi Unggul Nusantara.

DOOH plans to purchase 6.68 billion shares of INET at a price of Rp 300 per share. The transaction value reaches approximately Rp 2 trillion, which is equivalent to 647.90% of DOOH’s consolidated equity as of 30 June 2026.

Based on this value, the INET acquisition is categorised as a highly significant material transaction in accordance with Financial Services Authority (OJK) Regulation Number 17/2020.

To support this expansion plan, DOOH, alongside its new controlling shareholder, PT Sinergi Internasional Investama (SII), is preparing four interconnected corporate actions.

The first action involves a shareholder loan facility from SII with a ceiling of Rp 5 trillion. The loan features a 10-year tenor and an interest rate of 7.50% per annum.

From this facility, DOOH will disburse Rp 2 trillion in the initial stage to finance the acquisition of INET shares. Meanwhile, the remaining loan ceiling can support subsequent expansion funding requirements.

The second corporate action involves repurposing the remaining funds from its initial public offering (IPO) of Rp 120 billion. These funds will be reallocated as capital injections into CNI to support acquisition funding.

The fourth action encompasses governance improvements and company restructuring. The plan includes a change of name, registered address, adjustment of the Indonesian Standard Industrial Classification (KBLI) 2025, and a reshuffle of the board of directors and commissioners.

DOOH also plans to increase its authorised capital as part of this restructuring. All proposed corporate actions will be submitted for shareholder approval during an extraordinary general meeting of shareholders (RUPSLB) on 9 November 2026.
