Distributing Jumbo Dividends, Telkom Retains Board of Directors
Jakarta, CNBC Indonesia - PT Telkom Indonesia (Pers_ero) Tbk (Telkom) has made a strategic decision to distribute jumbo dividends to its shareholders. The company is also retaining its current Board of Directors, driven by strong business fundamentals and efforts to maintain the momentum of the TelkomGroup transformation.
This major decision followed Telkom’s Annual General Meeting of Shareholders (AGMS) for the 2025 fiscal year, held online on Monday (8/6). The meeting also resulted in several other strategic decisions, including the approval of a share buyback programme and a reshuffle of the Board of Commissioners.
Shareholders approved a cash dividend distribution of approximately Rp21.9 trillion, of which Rp17.8 trillion is sourced from the 2025 fiscal year net profit, while the remaining Rp4.2 trillion is taken from retained earnings from previous years. Payment will be made no later than 10 July 2026 to shareholders registered on the Indonesia Stock Exchange at the close of trading on 19 June 2026.
Telkom’s President Director, Dian Siswarini, stated that the company’s dividend payment considerations involve various aspects, primarily the balance between shareholder returns and long-term investment needs. She also emphasised that Telkom’s fundamentals and cash flow are strengthening despite industry pressures and uncertainty throughout 2025.
“This dividend decision reflects shareholder confidence in the transformation and growth direction we are building,” Dian said in an official statement on Tuesday (9/6/2026).
In addition to the dividend, the AGMS also approved a share buyback programme worth up to Rp4 trillion. The buyback can be conducted through the Stock Exchange or off-market, either gradually or all at once, within a 12-month period from 9 June 2026 to 8 June 2027. This step is taken as a strategy to increase shareholder value and maintain share price stability amidst market dynamics.
Throughout 2025, Telkom recorded revenue of Rp146.74 trillion, EBITDA of Rp72.24 trillion, and a net profit of Rp17.81 trillion. Although net profit was pressured by accelerated depreciation as part of a total governance reset, the impact was non-cash, ensuring that operational cash flow remained solid.
Telkom is also actively streamlining its business portfolio by divesting six non-core entities, including the completion of the AdMedika Group divestment on 2 June. Regarding infrastructure development, the process of spinning off assets and the wholesale fibre connectivity business to InfraNexia is targeted for completion in the third quarter of 202_6, alongside the reopening of strategic partnership initiatives for the data centre business.
The company is also transitioning towards a HoldCo-OpCo model with segment-based reporting to enhance transparency and performance accountability.
“This year, we are accelerating the execution of the TLKM 30 transformation strategy in a disciplined and measurable manner. Every step taken is aimed at building a national digital ecosystem that is increasingly advanced, inclusive, and globally competitive,” added Dian.
Finally, the AGMS approved changes to the composition of the Board of Commissioners to strengthen oversight of the transformation agenda and digital industry dynamics. Angga Raka Prabowo has been appointed as President Commissioner, accompanied by four Independent Commissioners: Deswandhy Agusman, Anthony Leong, Ira Noviarti, and Rofikoh Rokhim, as well as three Commissioners: Rizal Mallarangeng, Edwin Hidayat Abdullah, and Ossy Dermawan.
Meanwhile, the Board of Directors remains unchanged. Dian Siswarini continues to lead as President Director, supported by eight directors, including: Director of Enterprise & Business Service: Veranita Yosephine; Director of Human Capital Management: Willy Saelan; Director of Finance & Risk Management: Arthur Angelo Syailendra; Director of Network: Nanang Hendarno; Director of Strategic Business Development & Portfolio: Seno Soemadji; Director of Wholesale & International Service: Budi Satria Dharma Purba; Director of IT Digital: Faizal R. Djoemadi; and Director of Legal & Compliance: Andy Kelana.
