Complete List of Candidates for New Directors and Commissioners at Astra International (ASII)
PT Astra International Tbk (ASII) will hold its Annual General Meeting of Shareholders (AGMS) on 23 April 2026. One of the agenda items to be discussed and requiring shareholder approval is the replacement of the management lineup, including top leadership.
It is stated that the major shareholder, Jardine Cycle & Carriage Limited, has proposed several names to fill director positions, including Rudy as President Director, as well as other directors such as Gidion Hasan, Santosa, Gita Tiffani Boer, FXL Kesuma, Thomas Junaidi Alim, W. Hsu Hai Yeh, Siswadi, and Djap Tet Fa.
For information, Rudy is currently the Vice President Director of Astra. He has had a long career at Astra and has held several important positions, such as President Commissioner of PT Astra Honda Motor and PT Toyota Astra Motor, Vice President Commissioner of PT United Tractors Tbk, to independent director and finance director of PT Astra Agro Lestari Tbk.
New names to fill Astra’s board of directors include Siswadi, who currently serves as President Commissioner of PT Federal International Finance, PT Astra Sedaya Finance, and PT Sedaya Multi Investama. Then there is Djap Tet Fa, who currently serves as President Director of PT Astra Agro Lestari Tbk.
Meanwhile, the board of commissioners is also proposed to be filled by several names, such as Prijono Sugiarto as President Commissioner, as well as several independent commissioners including Sri Indrastuti Hadiputranto, Muliaman Darmansyah Hadad, Muhamad Chatib Basri, and Pariya Tangtongpairot.
The proposed commissioners include Anthony John Liddell Nightingale and Benjamin William Keswick.
In the list of proposed commissioners, the name Chatib Basri appears again. He is an Indonesian economist who once served as Finance Minister during the era of President Susilo Bambang Yudhoyono.
Chatib is recorded as having a long history with Astra. From 2005-2012, he sat as an independent commissioner of PT Astra Otoparts Tbk, and then from 2015-2019, he was entrusted as an independent commissioner of Astra International.
Most of the other names are existing ASII commissioners who will be reappointed. There are two new names, namely Pariya Tangtongpairot and Benjamin William Keswick. Tangtongpairot is Vice President - Accounting & Shared Services Center Division, Toyota Motor Asia Co. Ltd., Thailand, while Keswick is Executive Chairman, Jardine Matheson.
In addition, other agenda items to be discussed include the distribution of dividends from the achievement of consolidated net profit of Rp 32.76 trillion. In line with this achievement, the company proposes a cash dividend distribution of Rp 390 per share.
The amount of the dividend already includes the interim dividend of Rp 98 per share which was paid in October 2025. Thus, the remaining dividend of Rp 292 per share is planned to be distributed in May 2026.
In the remuneration agenda, Astra proposes to set the total honorarium for the Board of Commissioners at a maximum of Rp 2.16 billion per month (gross), effective from 23 April 2026 until the closing of the AGMS in 2027.
