PT Chandra Shipping International has officially acquired a majority stake in PT ELPI Trans Cargo from PT Pelayaran Nasional Ekalya Purnamasari Tbk (ELPI). PT Chandra Shipping International (CSI) is a shipping subsidiary of PT Chandra Daya Investasi Tbk (CDIA), which is part of the PT Chandra Asri Pacific Tbk (TPIA) group owned by conglomerate Prajogo Pangestu. Based on the company’s disclosure, the share acquisition transaction took place on Friday, 8 May 2026. In the transaction, ELPI transferred 17,250 shares of ETC to CSI at a nominal value of Rp1 million per share. Thus, the total nominal value of the transferred shares reaches Rp17.25 billion. Before the transaction, all shares of ETC were owned by ELPI. However, following the corporate action, the ownership structure of ETC changed to 57.5% by CSI and 42.5% by ELPI. ELPI’s management stated that with the shift in majority share ownership to CSI, ETC is no longer a consolidated subsidiary of the company effective from 8 May 2026. “This transaction provides support for the continuity of ETC’s business, particularly in developing the offshore services sector,” management wrote in the disclosure, quoted on Tuesday (12/5/2026). The company emphasised that the transaction has no impact on ELPI’s operational activities and business operations continue normally. This acquisition is also part of a series of transactions previously announced by the company, including plans for a change in control of ETC and the purchase of the Multi Purpose Support Vessel (MPSV) Bourbon Evolution 805 by ETC through auction. In addition, ELPI stated that the transaction is not a material transaction as regulated under POJK No. 17/POJK.04/2020 on Material Transactions and Changes in Business Activities.
