PT Bumi Resources Tbk (BUMI) has disclosed several key decisions from its Annual General Meeting of Shareholders (RUPST) and Extraordinary General Meeting of Shareholders (RUPSLB), held at Hotel JS Luwansa, Jakarta, on Thursday, 18 June 2026. One of the main decisions drawing investor attention was the absence of dividend distribution for the 2025 fiscal year. The coal mining issuer, part of the Bakrie group, also approved changes to the composition of the Board of Commissioners and Directors, along with other strategic agendas.

The announcement was made amid ongoing pressure on the company’s share price. In the last two trading days, BUMI shares have moved in negative territory. On Monday, 22 June 2026, the stock closed down 3.57 percent at Rp161 per share.

The RUPST, chaired by President Commissioner and Independent Commissioner Sharif Cicip Sutardjo, was attended by shareholders and their proxies representing more than half of the shares with valid voting rights. With this level of attendance, the meeting was declared to have met the quorum requirements, allowing valid decisions to be made on all agenda items. Management stated that the meeting discussed and made decisions on five agenda items.

During the meeting, shareholders approved the Board of Directors’ accountability report and ratified the company’s financial statements for the fiscal year ending 31 December 2025. The financial report had been audited by the Public Accounting Firm Amir Abadi Jusuf, Aryanto, Mawar and Partners (RSM Indonesia) and received an unqualified opinion (WTP).

A notable decision was the shareholders’ approval to not distribute dividends from the 2025 fiscal year profits. Management explained that this step was taken because the company is prioritising the use of capital to support its ongoing business diversification strategy. Consequently, all available profits will be focused on strengthening business development and supporting the company’s long-term business direction.
