PT Bumi Resources Tbk (BUMI) has held its Annual General Meeting of Shareholders (AGM) and Extraordinary General Meeting of Shareholders (EGM) at Hotel JS Luwansa, Jakarta, on Thursday, 18 June 2026, in a hybrid format combining physical and electronic attendance. The AGM, chaired by BUMI’s President Commissioner Sharif Cicip Sutardjo, was attended by shareholders and their proxies representing more than half of the company’s total shares with valid voting rights, thus meeting the quorum required by prevailing laws and regulations. Five agenda items were discussed and decided upon at the AGM. The financial statements received an unqualified audit opinion from the Public Accounting Firm Amir Abadi Jusuf, Aryanto, Mawar and Partners (RSM Indonesia). “The meeting resolved that no dividend will be distributed for the 2025 financial year, in line with the company’s move to continue directing capital to support its business diversification strategy,” BUMI Management stated in an official release on Monday (22/6/2026). Subsequently, the AGM approved the reappointment of RSM Indonesia as the company’s external auditor for the 2026 financial year. Shareholders further approved changes to the composition of BUMI’s Board of Commissioners and Board of Directors, effective from the closing of the AGM. The new management structure of BUMI is as follows: Board of Commissioners: Sharif Cicip Sutardjo as President Commissioner and Independent Commissioner; Kanaka Puradiredja as Independent Commissioner; Y.A. Didik Cahyanto as Independent Commissioner; Anggawira as Independent Commissioner; Anton Setianto Soedarsono as Commissioner; and Adhika Andrayudha Bakrie as Commissioner. Board of Directors: Adika Nuraga Bakrie as President Director; Agoes Projosasmito as Vice President Director; Nalinkant Amratlal Rathod as Director; Adrian Wicaksono as Director; Phiong Phillipus Darma as Director; Eddy Sanusi as Director; R.A. Sri Dharmayanti as Director; Andrew Christopher Beckham as Director; Maringan M. Ido Hotna Hutabarat as Director; Rio Supin as Director; Himawan Setiadi as Director; Christopher Fong as Director; and Donny Iskandar Maramis as Director. As a reporting agenda item, the AGM accepted the report on the realisation of the use of funds from BUMI’s Shelf Registration Public Offering of Shelf Bonds I (PUB I BUMI), covering Bonds Phase I through Phase V with a total offering value of up to Rp 5 trillion. On the same occasion, BUMI also convened an Extraordinary General Meeting of Shareholders (EGM) which approved amendments to the Company’s Articles of Association in connection with changes to the Company’s classification based on the Indonesian Standard Industrial Classification (KBLI).
