BTN's AGM to Discuss Rp15.4 Trillion Credit Portfolio Acquisition, Here's the Schedule

PT Bank Tabungan Negara (Persero) Tbk (BBTN) is scheduled to hold the Annual General Meeting of Shareholders (AGMS) for the 2025 fiscal year. One of the agenda items is the request for approval of the acquisition of a credit portfolio worth Rp15.43 trillion.

According to the Indonesia Stock Exchange disclosure, the AGMS will take place on Thursday, 23 April 2025. At least 11 agenda items will be discussed.

The first agenda item is the approval of the annual report and ratification of the company’s consolidated financial statements, including the supervisory duties report of the board of commissioners and the financial statements of the Micro and Small Business Funding Programme (PUMK) for the 2025 fiscal year. This agenda also includes granting full discharge and absolution of responsibility to the directors and board of commissioners for their performance throughout the 2025 fiscal year.

The second agenda item is the approval of the use of the company’s net profit for the 2025 fiscal year. The third agenda item covers the determination of salaries or honoraria, along with facilities and allowances for the 2026 fiscal year, as well as remuneration for performance in the 2025 fiscal year for the directors and board of commissioners.

The fourth agenda item is the appointment of a public accountant to audit the company’s consolidated financial statements and the PUMK financial statements for the 2026 fiscal year.

The fifth agenda item involves delegating authority for the approval of the Company’s Long-Term Business Plan (RJPP) for 2026-2030 and the Work Plan and Budget (RKAP) for 2027, along with any amendments.

The sixth agenda item is the approval of the update to the company’s recovery plan. The seventh agenda item discusses the establishment of policies and implementation of BTN’s dual pension fund programme.

The eighth agenda item is the approval of the takeover of a credit portfolio from a third party, which is an Indonesian banking financial services institution. This step is part of the company’s strategy to strengthen business activities and drive credit portfolio growth.

The estimated transaction value is up to Rp15.432 trillion, or approximately 42.6% of the Company’s equity based on the audited consolidated financial statements as of 31 December 2025.

However, the certainty of the transaction value will be determined after the due diligence process by an independent consultant appointed by the company. As a form of good corporate governance and transparency to shareholders, the company will seek approval for the planned transaction at the AGMS.

The ninth agenda item is the amendment to the company’s articles of association. The tenth agenda item covers the report on the realisation of the use of funds from the sustainable public offering of social bonds and subordinated bonds in 2025, and the eleventh agenda item relates to the reappointment of directors and changes to the composition of the board of commissioners.
