BTN (BBTN) Completes Transfer of Credit Assets from SMBC Indonesia

PT Bank Tabungan Negara (Persero) Tbk. (BBTN) has completed a conditional loan asset transfer transaction with PT Bank SMBC Indonesia Tbk. (BTPN). According to the information disclosure, the transaction was settled on 14 August 2026.

This transaction is a follow-up to the Conditional Loan Asset Transfer Agreement (CLATA) previously signed by BTN as the buyer and SMBC Indonesia as the seller. Under the agreement, SMBC agreed to sell and transfer loan assets to BTN.

The transferred loan assets include credit related to pensioners and pre-retirement employees with pension benefits managed by ASABRI and other pension funds. The transaction also covers loans for active employees.

BTN Corporate Secretary Ramon Armando stated that all preliminary conditions in the CLATA have been fulfilled. Subsequently, on 14 August 2026, BTN and SMBC Indonesia signed a deed of transfer, or cessie, before a notary to realise the transfer of the loan assets.

BTN has also paid the purchase price for the loan assets to SMBCI in accordance with the provisions of the CLATA.

According to Ramon, the transaction will have an impact on increasing the company’s total assets, particularly in the credit portfolio. This increase is projected to have a positive influence on the continuity and growth of BTN’s business in the future.

BTN also affirmed that the completion of the CLATA transaction is not an affiliated transaction and does not contain any conflict of interest as defined in POJK Number 42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest Transactions.
