BSI: Rights Issue to Strengthen Financing and Meet Free-Float Requirements
Jakarta (ANTARA) – PT Bank Syariah Indonesia (Persero) Tbk (BSI) said its planned Rights Issue II, formally known as a Capital Increase with Pre-emptive Rights (PMHMETD II), is intended to strengthen its financing capacity and meet the minimum free-float requirement.
BSI President Director Anggoro Eko Cahyo said the company was still recording strong financing growth of 16 per cent. Third-party funds were also continuing to grow rapidly.
“There are certainly many ways the funds can be used, given that our loan growth remains quite strong,” Anggoro said in a brief interview after a press conference for the BSI International Expo 2026 in Jakarta on Thursday.
As of August 2026, BSI’s financing had grown by 16.21 per cent year on year to Rp344 trillion. Third-party funds rose by 17.71 per cent to Rp389 trillion, while low-cost funds, or CASA, reached Rp246 trillion.
He said the rights issue was also intended to meet the minimum public shareholding requirement, known as free float. Shares held by the public in non-scrip form currently account for 9.9 per cent of BSI’s total.
“The second objective is to meet the free-float requirement. We are currently at just 9.9 per cent. We hope to meet the requirement, which would also allow us to enter the LQ45 index,” Anggoro said.
According to a company disclosure, BSI’s shareholders are led by PT Bank Mandiri (Persero) Tbk, with a 51.47 per cent stake, followed by PT Bank Negara Indonesia (Persero) Tbk’s PPA Division with 23.24 per cent and PT Bank Rakyat Indonesia (Persero) Tbk with 15.38 per cent. The remainder is held by the public in non-scrip form.
In a disclosure published in late September 2026, BSI announced plans to issue up to 6.8 billion Series B shares, each with a nominal value of Rp500, through Rights Issue II.
The company will first hold an extraordinary general meeting of shareholders to seek approval. The meeting is scheduled for 6 November 2026.
Rights Issue II is expected to be carried out and completed in the first quarter of 2027.
After deducting all costs and expenses related to the new share issue, BSI will use all the proceeds to provide financing and support the company’s growth.
The capital projected to support the company’s business is expected to rise from Rp51.07 trillion in 2026 to Rp64.41 trillion in 2027, while its capital adequacy ratio (CAR) is forecast to increase from 20.38 per cent to 23.31 per cent.
The stronger capital base is also expected to support sustainable business expansion, including efforts to move up the bank grouping by core capital, in accordance with applicable regulations.
